Formación

• Experiencia de al menos 3 años en la profesión legal.
• Publicaciones en revistas jurídicas son una ventaja.

Responsabilidades

• Lanzar las actividades de la empresa como plataforma tecnológica.
• Desarrollar una estructura corporativa y una estrategia fiscal empresarial.
• Redactar contratos laborales y políticas internas de la empresa.
• Redactar contratos con socios, contratistas, empleados y clientes.

Now we are looking for a single lawyer in the start-up company who will be developing all the processes from scratch in Mexico and LATAM.

You will have a chance to build your own legal team and become a Legal Director faster than in any existing law firm.

Tasks that the lawyer will deal with the first 3 months :

• Launch the company's activities as a technology platform;
• Develop a corporate structure and a tax-inclusive business strategy;
• Draft employment contracts, internal policies of the company;
• Draft contracts with partners, contractors, employees and clients.

So what skills should you have?

• Legal education and work experience in the legal profession for at least 3 years (top national legal universities as an advantage);
• Correct speech, competent written Legal Spanish and English;
• Confident skills in labor law, contract law, advertising law, IP law, banking and financial law - highly recommended
• Articles in legal magazines and participation in legal conferences is an advantage

Requirements for professional experience (you know how to do it) :

• Development of constituent documents, support of corporate procedures related to the establishment, reorganization or amendments (change of address, increase in the authorized capital by making contributions, renaming, changing the composition of participants, the size of shares, etc.).
• Legal support of transactions, including cross-border ones;
• Legal support of advertising activity;
• Legal support of payments / bonds / taxes / duties;
• Legal support of HR documents drafting;

Other experience as an advantage :

• Support of projects on business relocation, establishment, reorganization and liquidation of legal entities;
• Conducting due diligence;
• Work on registration of digital financial assets;
• Preparation of convertible loan agreements, option agreements, offers, waivers, consents and other related documents;
• Professional consulting on building optimal international structures for local and foreign businesses to conduct operating and holding activities locally and abroad;
• Communication with financial advisors for better structuring of company's process in ongoing activity;
• Business restructuring in case of sale / acquisition, transfers from / to other jurisdictions;
• Participation in reorganization projects in the form of separation and division of business;
