Role Overview
We are seeking a Company Secretary Assistant to join our Legal team in Manchester. In this role, you will:
- Ensure compliance and maintain statutory records for the entities in your portfolio, including filing annual returns, financial statements, and statutory returns.
- Maintain statutory registers such as registers of directors and members.
- Act as the Committee Secretary to the UK Bank's Executive Committee.
- Draft agendas, governance papers, Chair’s briefing notes, and minutes.
- Draft accounts for dormant legal entities.
- Assist in reviewing, negotiating, and approving legal documentation, such as Powers of Attorney and Letters of Representation.
- Schedule and circulate Board and Committee meetings and papers.
- Coordinate training for Boards and Committees.
- Develop relationships with functional leads across EMEA, including Compliance, Finance, Internal Audit, and Risk.
- Handle miscellaneous secretarial tasks such as company formations, branch registrations, and director changes.
- Provide admin support for Diligent and arrange document signing via ClientExchange.
Qualifications
- Experience in a company secretarial role within financial services or a multinational organization.
- Excellent communication skills at all levels.
- Strong minute writing experience, preferably in a regulated environment.
- Proficiency in Word, Excel, PowerPoint, and familiarity with secretarial software like ClientExchange, GEMS, or Diligent.
- Ability to work under pressure and manage confidential information.
- Experience submitting filings to Companies House.
- Confident, assertive, and collaborative attitude.
