Overview

AIG's underwriters help to find insurance solutions for risks from a range of areas including life insurance, aviation, financial lines, casualty, environmental, catastrophic events, high net worth individuals, and boardroom liabilities.

Our Mergers & Acquisitions products and services provide cutting edge solutions for M&A deals, offering a full spectrum of individually tailored insurance programs for both buyers and sellers in relation to risks inherent in major corporate transactions.

You will undertake a process of legal and commercial risk analysis for M&A deals, with a view to providing clients with a bespoke insurance solution that allows them to meet their transaction objectives. Your activities will be focused on underwriting corporate transaction deals across all sizes and sectors of business, carrying out detailed warranty and business statement analysis, developing and marketing new business, assisting with new product development and developing new and existing broker and client relationships. You will be part of a very experienced European M&A team (25 professionals) being based in Brussels, Copenhagen, Frankfurt, Madrid, Paris, Rotterdam and Stockholm.

Job Description
  • Underwriting of corporate transaction risks (warranties and indemnities, taxation liability, litigation buyout and special situation contingent risks)
  • In conjunction with the other members of the M&A team, to deliver timely and bespoke transaction insurance documents on transaction risk deals
  • Independent policy negotiations with the insured and its advisors
  • Legal and commercial analysis of the due diligence reports in cooperation with the external counsels
  • Relationship management with Private Equity houses, Inhouse M&A departments, Investment Banking Teams, insurance brokers and legal advisors
  • Product development
  • Business Development and implementation of agreed strategy for growing the book of business in France and South Europe (Spain, Italy, Portugal)
  • Propose and develop new transaction insurance products
Job Requirements
  • French qualified lawyer preferred, or other relevant M&A transactional experience such as tax or accounting with solid legal experience gained in an internationally recognized law firm
  • Strong technical knowledge in relation to negotiating and managing M&A transactions (with a focus on corporate structuring and private equity transactions)
  • Ability to negotiate with commercially and legally sophisticated advisors and clients
  • Highly focused, enthusiastic and creative thinker
  • Ability to understand and execute commercial decision making in a context of legal risk assessment
  • Excellent technical and business development skills
  • English and French language skills, ideally Italian and/or Spanish language know how
