As Legal Counsel you are one point of contact for all commercial departments at OSN that require assistance in legal matters. The role has particular focus on the content side of the business and will include assisting the GC on some projects and larger matters.

Key Accountabilities :

As part of the legal team, you will be asked to manage the contractual issues (both drafting and interpreting) as lead lawyer across the following key areas :

• Content : lead for all matters relating to content, including drafting and negotiating content agreements with suppliers (both commissioned and licensing) and overseeing all contacts for producers of original content along with reviews of content agreements for commercial teams to provide guidance, and to ensure compliance.
• Sales and marketing : sale and distribution agreements for content, contract s for marketing, events and promotional activities.
• Partnerships : assisting in the assessment and consents relating to strategic partnerships for commercial / B2B arrangements.
• Carriage and Redistribution : assisting with the drafting agreements for the distribution of OSN’s content on third party platforms, including IPTV / telcos and OTT.
• In addition, all legal team members are expected to assist with procurement processes and internal compliance : managing internal sign off process (finance, tax, procurement) and presenting contracts for signature.
• You will be expected to assist with negotiations and dispute resolution as and when necessary, assisting with dispute resolution.
• As lead lawyer for content, you will be working with the censorship team in overseeing compliance with the complex content regulations across the region.
• The legal team provides general advisory across the company – this can range from government licensing to type approvals, data protection to content compliance.
• You will be providing legal support in respect of all day-to-day matters and ongoing support to the GC

Qualifications, experience, skills and competencies :

• Minimum requirement of 8 years of Post Qualifications Experience.
• Extensive experience in media work at a major international law firm or solid in-house experience at a media company (preferable).
• Ability to draft independently is essential.
• Good understanding and working experience in distribution and telco deals.

Education requirement :

• License to practice law in an internationally competitive common law jurisdiction.

Knowledge and Skills :

• A strong understanding of various types of commercial contracts.
• Strong passion for media and entertainment
• Exposure to media and broadcast contracts is required.
• Previous experience of working on a wide range of commercial contracts across the media industry.
• Exposure to commercial contracts in the MENA region would be advantageous.
• Previous experience of working with a procurement team.
• Strong command of legal English language.
• Strong IT skills and ability to learn new systems.
• An independent worker who can communicate with commercial teams on a professional level.
• Strong organizational skills are needed, with ability to continually re-prioritize workload in order to meet deadlines.
• Trustworthy and ability to maintain confidentiality.
• Motivated and detail oriented.
• Strong communication and interpersonal skills with a positive outlook.
