A Mining Investment Company based in Rosebank is seeking a Legal Manager to join their team.
Based at the Corporate Office, the successful incumbent will report to the Executive: Business Development, Legal and Smelters.
Role and responsibilities
- Provides specialized legal advice and support to the Group of companies, focusing on commercial and mining law, in alignment with the Resources’ group of companies' strategic objectives;
- Drafting and reviewing contracts, managing litigation, ensuring regulatory adherence, advising on and negotiating various legal agreements.
- Acting as a primary legal point of contact within the organization and, in some cases, representing the company in external legal matters as prescribed by the Executive.
- Identifying and managing legal risks, implementing strategies to protect the company's interests.
- Overseeing legal disputes and coordinate with external counsel for specialized legal expertise.
- Advising on corporate transactions, including mergers, acquisitions, and due diligence.
- Conducting legal research to identify and analyze potential legal risks, implications, and compliance requirements related to business activities.
- Advising management on the legal implications of business decisions, developing strategies to mitigate risks, and ensuring compliance with relevant laws and regulations.
- Creating and overseeing internal policies, procedures, and guidelines to ensure legal and regulatory compliance.
- Providing advice and support on matters of corporate governance, ethical practices, and other legal requirements.
Minimum requirements – education, skills and experience
- LLB Degree. LLM or MBA would be an advantage.
- Admitted attorney or Advocate registered with the Legal Practice Council.
- 8 years’ post-qualification experience in commercial law, mining law and/or litigation;
- Sound experience in drafting, negotiating, and interpreting complex commercial agreements and contracts;
- The role requires a strong analytical mind, with good decision-making and problem-solving skills, with a deep understanding of the industries within which the group's companies operate;
- Demonstrated ability to engage with diverse stakeholder groups, managing legal risks in a dynamic business environment;
- Strong knowledge of South Africa’s legal and regulatory landscape, particularly in relation to mining, environmental, and socio-economic development legislation (e.g., MPRDA, NEMA, SLPs).
