Job summary
A leading organization in legal services is seeking a Legal Counsel based in Singapore. The candidate will provide legal advice to support business activities, manage contracts, and engage in M&A endeavors. Applicants should possess a law degree and have 3-5 years of experience in a law firm or as in-house counsel. Knowledge of Singapore and international law is preferred. Strong negotiation and problem-solving skills are essential. The role requires exceptional communication abilities and strong business acumen.
Qualifications
- Minimum 3 to 5 years experience with a recognized law firm or as in-house legal counsel.
- Knowledge of Singapore, US and international law is preferred.
- Strong experience in corporate governance work in multiple jurisdictions.
Responsibilities
- Provide legal advice supporting business activities and development.
- Manage all legal contracts within the Group.
- Draft and review business contracts to ensure legal compliance.
- Involve in M&A activities, including deal structuring and legal due diligence.
Skills
Education
- Provide legal advice and services in support of business activities and development of organizational policies, procedures and programs and provide continuing counsel and guidance on legal matters and legal implications of all matters.
- Manage all legal contracts within the Group.
- Drafting and reviewing business contracts and agreements, to ensure legal compliance and provide advice and necessary recommendation in managing legal and commercial exposures.
- Involve in M&A activities, including deal structuring with regards to the legal aspect, legal due diligence, drafting of terms sheets and agreements, tax and other relevant compliance activities.
- Liaise with external professionals when necessary.
- Strengthen business support and effectiveness around legal process, identify areas and work on process improvement on ongoing basis.
- Contribute to the development of internal guidelines, including development of standard or template contracts.
- Law degree either local or overseas.
- Minimum 3 to 5 years experience either with a recognized law firm or as an in-house legal counsel.
- Knowledge of Singapore, US and international law is preferred.
- Demonstrated collaborative, negotiation and problem solving skills.
- Strong business acumen to understand business goals and strategies.
- Strong experience in corporate governance work in multiple jurisdictions and complex corporate structures.
- Exceptional legal analysis and writing skills.
- Ability to coordinate and effectively manage large amounts of complex work.
- Strong interpersonal, communication and negotiation skills.
- Demonstrated skills in handling multiple tasks and working in cross functional teams.
- Ability to analyze case law and provide recommendations.
- Ability to effectively interact with different types/levels of people including senior business leaders.
- Experience and proven capability to advocate legal/ regulatory position with government officials and industry bodies.
- Ability to integrate business and legal considerations to produce practical and cost effective legal advice.
- Must be able to work independently as a legal professional and custodian of the company's policies and as well as working collaboratively as part of a team.
