Job Title: Corporate Legal Counsel
Job Summary

The Corporate Legal Counsel will provide legal support across corporate governance, compliance, and commercial contracting. This role is responsible for preparing and documenting board and committee meetings, ensuring ongoing regulatory and corporate compliance, and reviewing and advising on contract drafts to support the company’s business objectives while mitigating legal risk.

Key Responsibilities
Corporate Governance & Board Support
  • Prepare agendas, resolutions, briefing materials, and minutes for Board of Directors and committee meetings.
  • Advise the Board and senior management on corporate governance matters and best practices.
  • Maintain statutory registers, corporate records, and governance documentation.
  • Support implementation of board decisions and monitor follow-up actions.
Compliance & Regulatory Matters
  • Ensure the company’s compliance with applicable laws, regulations, and internal policies (take the role of Compliance Officer).
  • Monitor changes in relevant legislation and assess their impact on the business.
  • Develop, implement, and maintain compliance programs, policies, and procedures.
  • Coordinate with external counsel and regulators as needed.
Contracts & Commercial Matters
  • Review, draft, and negotiate a wide range of commercial contracts, including vendor agreements, customer contracts, NDAs, and service agreements.
  • Identify legal risks in contract drafts and propose practical, business-oriented solutions.
  • Support contract lifecycle management, including approvals, amendments, and renewals.
General Legal Support
  • Provide day‑to‑day legal advice to internal stakeholders across departments.
  • Assist with corporate transactions, restructurings, or special projects as required.
  • Manage external legal advisors and control legal costs.
Qualifications & Experience
  • Law degree from an accredited institution.
  • 5 years of experience in corporate law, either in‑house or in private practice.
  • Strong experience in corporate governance, international compliance regimes, and contract review.
  • Familiarity with board processes and regulatory requirements.
