A telecommunications infrastructure company is seeking a General Counsel for the Latin America & Caribbean region. This role involves overseeing the day-to-day legal operations, managing a team of 40+ legal professionals, and ensuring compliance with local laws and regulations. The ideal candidate will have a strong background in corporate law, real estate, and in-house legal experience. Bilingual in English and Spanish with a minimum of 10 years of relevant experience is required. Flexible location but candidates should reside in CALA markets.

Formación

  • 10 years of experience in corporate and real estate law, preferably in telecommunications.
  • Licensed to practice law in the country of residence.
  • Experience managing teams of legal professionals.

We are seeking to hire a General Counsel for the Latin America & Caribbean (CALA) region who will be responsible for overseeing the day-to-day legal aspects of PTI's business in CALA.

Specific area of focus includes overseeing tower real estate holdings including underlying ground lease management, ongoing improvements to ground leases, oversight of land and tower acquisitions, customer contracts, loan compliance, personnel management and managing the corporate governance of the Group companies in CALA.

The GC will provide effective advice on Company strategies and their implementation, manage the day-to-day legal function of the business, and oversee the work of outside counsels.

Other responsibilities include negotiating, writing, reviewing, summarizing, researching, and executing a wide variety of agreements for the company.

Furthermore, the CALA General Counsel will work collaboratively with the Global General Counsel and the Company's international counsel to oversee and implement best practices in connection with all legal aspects of the business.

LOCATION : The location of the role is flexible and can be based in a region where PTI has an office in one of the CALA markets.

FUNCTIONS :
  • Responsible for day-to-day legal operations across CALA leading a team of 40+ experienced lawyers across the Region and ensuring alignment with company objectives and legal best practices.
  • Ensure compliance with local laws, corporate governance & filings, and international regulations, including FCPA
  • Negotiate various types of agreements and review contracts, including but not limited to : agreements with customers for the lease of space in PTI's infrastructures; vendor contracts; contracts related to the lease of land and space in telecommunications infrastructure, as well as regarding construction, sale, and usufruct projects of properties and wireless infrastructure including; master lease agreements, site lease agreements, ground lease agreements; built-to-suit agreements, new tower development agreements, among others
  • Provide assistance to the M&A and Financing teams on all major business transactions, including acquisitions, divestitures, and joint ventures.
  • Coordinate with international counsels to implement consistent legal standards and practices.
  • Provide legal guidance to internal stakeholders across business units.
  • Represent PTI Legal at Board Meetings in local markets.
  • Assist in the preparation of, and revisions to, standard forms and PTI template agreements.
  • Assist the Asset Management, Lease Administration, and Ground Lease Buyout Departments with legal advice and documents that are required.
  • Oversee the preparation of corporate documents required in the CALA region and maintain Company's legal files for the region.
  • Serve as liaison with local external lawyers and represent the Company before counterparts, local lawyers, and operators.
  • Exercise other duties or functions as required in the capacity of legal counsel to the Company.

QUALIFICATIONS :
  • Law degree (equivalent to JD) from an accredited university.
  • Master's degree in related area.
  • Must be licensed and authorized to practice law in the country of residence.
  • Minimum of 10 years of experience in corporate and real estate law; experience in the telecommunications and / or tower industry is preferred.
  • Must have in-house legal experience and oversight.
  • Demonstrated legal experience within the Latin America region, with a strong understanding of regional legal, regulatory and business environments.
  • Bilingual in English and Spanish
  • Proven leadership experience managing teams of legal professionals and cross-functional projects required.
  • Highly polished and effective negotiation, communication and drafting skills.
  • Self-starter with initiative and demonstrated creative problem-solving ability.
  • Pragmatic and business-focused mindset with demonstrated ability to take ownership and resolve issues with minimal supervision.
  • Proven ability to independently lead and direct its staff to execute all facets of challenging transactional engagements.
  • Strong judgment and proven ability to work collaboratively with the ability to thrive in a fast-paced, flexible culture.
