Global Legal Counsel Senior Expert - Marseille
Responsibilities
- Main responsibilities As the Global Legal Counsel Senior Expert, you will play a critical role in providing legal expertise and strategic guidance across the Group in all areas of corporate law and M&A transactions. You will work closely with operational teams and all of the Group’s support functions (tax, financial control, accounting, compliance) to provide legal oversight of both ordinary and extraordinary transactions of the subsidiaries under your responsibility and to structure their governance in line with Group standards.
- Corporate Law
- Managing the integration of newly acquired entities and advising on the organization and restructuring of corporate structures.
- Leading and managing intragroup reorganization operations (mergers, contributions, liquidations).
- Managing intercompany agreements, and other corporate actions.
- Mergers & Acquisitions (M&A)
- Structuring, negotiating and contributing to the realization of M&A transactions, restructuring, company and/or shareholding disposal through preparing and supervising the drafting of contractual documentation (Letters of Intent (LOI), Non-Binding Offers, Binding Offers, Share Purchase Agreements (SPA), and Shareholder Agreements, etc).
- Providing legal support throughout the M&A lifecycle, ensuring alignment with the Group’s strategic objectives.
- Finance and Intercompany Contracts
- Managing and drafting intercompany agreements related to finance, loans, and other intra-group transactions.
- Ensuring compliance with applicable laws and regulations while optimizing contractual terms for the Group.
- Corporate Guarantees
- Overseeing, negotiating, and monitoring corporate guarantees at the Group level to mitigate risk and support business operations.
- Strategic Legal Advisory
- Collaborating with internal stakeholders, including senior management and cross-functional teams, to provide legal insights that drive informed decision-making.
- Ensuring the Group’s legal interests are safeguarded across all operations and transactions.
Profile Sought (Education, Experience, Skills)
- Education: Master’s degree in Law, with a specialization in Corporate Law, Business Law, or a related field.
- Experience: Minimum of 8 years of relevant experience in corporate law, M&A, and finance-related legal matters, preferably within an international environment or a multinational corporation.
Technical Skills:
- Deep knowledge of corporate law, including company integrations, mergers, liquidations, and corporate structuring.
- Strong expertise in M&A processes, including negotiation and drafting of complex legal documents.
- Proficiency in finance-related legal matters, particularly intercompany contracts and corporate guarantees.
- Excellent drafting, negotiation, and analytical skills, with a focus on precision and attention to detail.
