Non-Executive Director — Social & Ethics Committee Member
We are seeking a talented and committed Non-Executive Director to join our Board, serving specifically on the Social & Ethics Committee.
This is a non-executive, board-level position.
The ideal candidate will share our values and bring fresh perspective and governance experience, supporting Makwa-IT's growth while safeguarding our ethical and social commitments.
As a member of the Board and the Social & Ethics Committee, you will help ensure that Makwa-IT continues to operate responsibly, transparently and with fairness for our employees, clients, partners, and the broader community.
Key Responsibilities
- Participate in quarterly (or as-needed) Board meetings alongside the executive team and fellow non-executive directors.
- Serve on the Social & Ethics Committee to oversee and guide Makwa-IT's policies related to ethics, corporate social responsibility, labour practices, transformation (D&I / transformation if relevant), environmental impact, employee welfare and community engagement.
- Provide independent oversight and constructive challenge to management decisions, ensuring alignment with the company's values and long-term vision.
- Help shape and monitor the implementation of ethical codes, policies, and reporting frameworks appropriate for a growing, values-driven IT company.
- Offer mentorship and strategic counsel to senior leadership without being involved in day‑to‑day operations.
What We're Looking For
- Have experience in board governance, corporate ethics, CSR, compliance or social responsibility roles.
- Demonstrate strong personal integrity, commitment to ethical practice and alignment with our core values.
- Are independent thinkers, able to provide honest, constructive challenge while working collaboratively.
- Possess sound business acumen and an understanding of the challenges and opportunities facing growing tech organisations.
- Are available to commit time for meetings and occasional ad‑hoc advice, but are comfortable with a non‑executive (part‑time) role.
- Ideally have some understanding of South African contexts (labour law, transformation, community engagement), though not strictly required if you bring relevant governance / external advisory experience.
