Investment Banking Legal Advisor
Overview
Provide professional judgment and legal advice on treasury, trade and investment banking transactions, conducting ongoing research into laws, industry best practices and regulatory frameworks that impact the legal viability of considered deals.
Responsibilities
- Legal implementation of asset finance, acquisition finance, escrow, supply chain finance, warehouse finance, receivables finance and structured trade finance (including borrowing base) transactions.
- Advising the bank on the legal aspects of transactions and continuing research into relevant laws and regulatory frameworks.
- Providing highly specialized legal advice or support regarding clients and the terms and conditions necessary for the successful completion of transactions.
- Identifying and liaising with external attorneys to prepare documentation, reviewing these documents, and negotiating with clients and their legal representatives to finalize agreements.
- Providing legal specialist advice on operational aspects of product offerings, including investment parameters, fund migrations, and fund litigation services.
- Advising on financial services legislation affecting funds, investment management companies and advisors, including distribution and marketing issues.
- Ensuring compliance with internal legal procedures and policies.
- Negotiating and drafting final agreements pertaining to the product offering.
- Providing legal advice and support, including technical analysis and application of legal and commercial principles to transactions and products.
- Performing expert drafting and reviewing of applicable documentation and agreements.
- Developing and maintaining relationships with internal stakeholders and external legal counsel.
- Staying up to date with all developments in law, regulation, industry and best practice in the relevant area of specialist legal practice.
- Identifying, monitoring, reporting and minimizing potential legal, reputational and operational risks.
- Developing, encouraging and nurturing collaborative relationships across business areas and the group, and providing input into corporate governance, compliance, integrity and ethics policies to manage risk exposure.
- Staying abreast of industry risk‑management best practices and legislative amendments and suggesting ways to leverage these for continuous improvement.
- Developing tactical strategy and delivery plans to support functional strategic objectives in partnership with leadership.
- Participating in planned activities that support personal and employee development.
