Chief Financial Officer (CFO) – Holding Company & Capital Markets
We are seeking a strategic, hands‑on Chief Financial Officer (CFO) with strong experience in holding companies, capital markets/IPO readiness, and real estate investment. The CFO will lead group financial strategy, corporate finance, valuation, feasibility, reporting, and investor readiness—ensuring DIAAR is positioned for disciplined expansion and potential market listing in the future.
Key Responsibilities
- Group Finance & Holding Structure
- Lead the finance function across the holding company and its subsidiaries (structure, intercompany, consolidation, policies).
- Build scalable financial governance, controls, and reporting standards across the group.
- Manage group cashflow, treasury, banking relationships, and capital allocation.
- Capital Markets & IPO / Listing Readiness
- Lead IPO readiness / listing preparation initiatives (Tadawul/Nomu) including workstreams, reporting discipline, governance, and advisor coordination.
- Prepare investment narratives, board‑level packs, and performance reporting suitable for investors and regulators.
- Coordinate with legal, audit, and financial advisors to ensure compliance and readiness.
- Valuation, Corporate Finance & Investments
- Lead company valuation and financial assessment for acquisitions, partnerships, and restructuring.
- Evaluate investment opportunities and develop financial models (DCF, comps, scenario/sensitivity).
- Develop and monitor portfolio performance metrics and investment KPIs.
- Real Estate Finance & Feasibility
- Oversee real estate feasibility studies (development, leasing, hospitality/office/residential where applicable).
- Drive underwriting standards, ROI/IRR analysis, project cashflow modeling, and risk assessment.
- Support pricing strategy, phasing, funding structures, and profitability tracking per project and per unit.
- Financial Reporting, Audit & Compliance
- Ensure accurate and timely financial statements and management reporting (monthly/quarterly/annual).
- Lead audits and maintain strong relationships with external auditors.
- Ensure compliance with relevant standards and regulatory requirements (e.g., IFRS, ZATCA requirements where applicable).
- Leadership & Team Building
- Build and mentor a high‑performing finance team across group entities.
- Partner with CEOs/GMs to improve financial discipline, forecasting accuracy, and performance management.
Requirements
- Bachelor’s degree in Finance, Accounting, Economics, or related field (Master’s is a plus).
- Professional certification: SOCPA / CPA / ACCA / CMA preferred.
- 10+ years progressive finance leadership experience, with proven CFO/Finance Director track record.
- Demonstrated experience in:
- Holding companies / group consolidation
- IPO readiness or capital markets listing preparation (files/workstreams/advisors)
- Financial valuation and investment analysis
- Real estate sector finance and real estate feasibility studies
- Strong expertise in financial modeling, corporate finance, treasury, and governance.
