A leading food and beverage company in Mexico is seeking a Corporate Lawyer to oversee corporate governance and legal compliance issues. Key responsibilities include preparing shareholders’ meetings, advising on regulatory issues, drafting commercial contracts, and supervising external law firms. The ideal candidate will have a Bachelor's degree in law, a Post-Graduation in Corporate Law, and strong skills in teamwork and strategic vision. This role requires fluency in English and proficiency in Office software.

Formación

• Experience with corporate law and mergers & acquisitions.
• Solid understanding of legal compliance and regulatory requirements.

Responsabilidades

• Preparation and supervision of shareholders’ meetings and corporate issues.
• Advising on legal and regulatory matters.
• Ensuring compliance with regulatory requirements and maintaining corporate governance.
• Drafting and managing commercial contracts.
• Identify relevant legal risks and determine optimal actions.
• Analyze, prepare, and negotiate financial, tax, and commercial contracts.
• Supervise law firms for corporate matters.

Job Description

Key Activities / Deliverables:

• Preparation and supervision of shareholders’ meeting, powers of attorney, capital increases and reductions, M&A, and spin-offs and all corporate issues related to companies of the Kraft Heinz Group in Mexico (including corporate consultancy issues and support to the Global team in matters related to Brazilian companies.)
• Advising on legal and regulatory matters impacting legal compliance (labor, commercial, etc.).
• Ensuring company's compliance with regulatory requirements, internal policies and standard legal practices, maintaining high standards of corporate governance.
• Drafting and managing commercial contracts to ensure corporate protection.
• Identify relevant legal risk for the BU and determine the optimal course of action.
• Analyze, prepare and negotiate financial, tax and commercial contracts.
• Supervise law firms hired for corporate and contracts matters.

Experiences / Education:

• Bachelor’s degree in law
• Post‑Graduation in Corporate Law
