Role Overview

We are seeking an experienced SPA Manager/Associate Director to join the Sale and Purchase Agreement Advisory team at Grant Thornton. The role focuses on providing technical and commercial support for M&A transactions, with a strong emphasis on completion mechanisms, EV‑to‑equity bridges, and financial aspects of Sale and Purchase Agreements (SPAs).

Key Responsibilities
  • Handle M&A transactions with minimal partner involvement, serving as the primary contact for clients in the associate director/partner’s absence.
  • Draft and review SPA terms, completion accounts, earn‑out accounts, and dispute resolutions.
  • Accurately prepare letters of engagement, fee estimates, and budgets for director/partner review.
  • Produce high‑quality financial analysis and present conclusions, recommendations, and action points to clients.
  • Monitor and manage assignment costs versus budgets, challenging team member time charged to other departments.
  • Provide technical solutions and seek advice from specialists when needed.
  • Cross‑sell firm products and services, demonstrating knowledge of the firm’s capabilities.
  • Show a clear appetite for self‑development through performance reviews and Personal Development Plans (PDPs).
Key Qualifications
  • Professional qualification such as ACA, ICAS, CA, ACCA or CIPFA, with post‑qualification audit experience.
  • Hands‑on experience with EV‑to‑equity value bridges.
  • Strong understanding of the financial and accounting aspects of sales and purchase agreements.
  • Experience advising on the preparation, review, or dispute of completion accounts and earn‑out accounts.
  • Commercial ability and the capacity to work independently while recognizing when specialist or partner input is required.
  • Excellent communication and client‑relationship management skills.
