Job Summary

The Associate General Counsel will report to the Deputy General Counsel and will support NPT’s mission by advising on contracts, grantmaking, nonprofit tax, complex gifts, communications, and organizational policy issues. The Associate General Counsel assists in protecting NPT’s legal interest and maintaining operations within the scope of established laws and governance. This role provides hands‑on counsel to all levels of management and staff within the organization and performs research in support of legal advice or opinion.

Salary range is $160,000 - $175,000 plus 21% annual discretionary bonus.

Primary Functions and Essential Responsibilities

Duties and Responsibilities:

  • Negotiate, draft, and review contracts and other agreements
  • Conduct legal research and analyze legal issues that affect NPT and its activities
  • Identify and/or assess legal and business risks to NPT; help identify and address business and reputational risks
  • Draft grant agreements and advise staff on legal aspects of grantmaking
  • Create policies, procedures, and systems around a variety of legal compliance issues
  • Stay up to date on relevant regulatory developments in the area of tax‑exempt organizations, particularly regarding matters related to donor advised funds (DAFs), charitable giving, nonprofit advocacy, government, ethics, and related topics
  • Serve as a resource for staff on legal concerns and questions
  • Assist in developing and presenting training on legal issues
  • Strategically consult with and help effectively manage the organization’s outside counsel
  • Collaborate with other teams on organization‑wide projects and matters
  • Support the Development Team in communications with financial advisors and donors relating to complex or illiquid gifts, and manage the due diligence process
  • Work in partnership with Finance and Operations to ensure proper management, liquidation, tracking, and reporting of illiquid assets
  • Work in partnership with Finance to manage tax reporting including unrelated business income tax (UBIT)
  • Work closely with operations and program staff to oversee legal aspects of planning projects and agreements to assure compliance with applicable laws
  • Conduct research and analysis of specific legal questions and prepare memoranda and/or opinions
  • Review and edit internal and external marketing materials
  • Other duties and projects as assigned by the General Counsel and/or Deputy General Counsel

Qualifications

Education/Certification:

  • J.D. from an accredited law school
  • Licensed to practice law
Qualifications and Experience
  • Experience: Five to seven years of legal practice, including at least three years in tax law at a law firm or as in‑house counsel.
  • Expertise: In‑depth knowledge of federal and state laws and regulations applicable to tax‑exempt organizations; familiarity with contracts, corporate law, intellectual property, and/or trusts and estates.
  • Analytical and Problem‑Solving Skills: Proven ability to analyze complex legal and factual issues, identify underlying patterns and trends, and provide practical, solution‑oriented counsel.
  • Communication: Exceptional written and oral communication skills, with the ability to summarize complex issues, draft and edit technical documents, and provide clear, actionable recommendations.
  • Collaboration and Client Service: Demonstrated success building trust and providing thoughtful counsel across departments; skilled in fostering productive relationships with internal and external partners.
  • Professionalism and Work Ethic: Strong attention to detail, project management, and prioritization skills; maintains integrity, accountability, and confidentiality in all matters.
  • Leadership and Adaptability: Quick learner with the ability to gain credibility, educate others, and contribute effectively both independently and as part of a team in a complex nonprofit environment.
