Role and Engagement

ProSidian Seeks a Oil and Gas (Petroleum) Policy Technical Expert / Consultant [541690 Contract Contingent] located in Cape Town, South Africa to support an engagement for the U.S. Govt. International Technical Assistance Program (ITAP). The role provides assistance on technical, regulatory, environmental, and financial management for national development on a range of energy and non-energy resources. The focus areas include policy, legal and regulatory reform; technical, operational and economic analysis; financial mechanisms and market creation; economic management, transparency and fiscal policy; and environmental and social issues related to resource development.

Responsibilities
  • Help beneficiary stakeholders and clients analyze oil and gas (petroleum) policy related to leases and related agreements such as pipeline rights-of-way to ensure leases and associated agreements are properly executed by the correct parties and recorded as necessary.
  • Provide oil and gas (petroleum) policy advice, assistance, training, and support on a full range of oil and gas legal matters in domestic and international contexts, including acquisitions and divestitures, financings and offerings, public policy, joint operations, exploration and production, intellectual property and litigation, environmental health and safety, field services and construction.
  • Provide policy guidance on real estate, land use approvals and siting issues that affect developing and expanding oil and gas projects.
  • Provide technical expertise and support for asset development efforts including acreage swaps, joint ventures, joint operations, acreage acquisition, and leasing.
  • Provide management on regulatory issues for joint ownership, construction, operations, transportation, commercial, and compliance matters.
  • Support negotiations with royalty owners, joint venture parties, and contractors/suppliers on legal matters and provide guidance on exploration, drilling, and development activities.
  • Provide guidance on environmental and safety regulations and related compliance matters.
  • Draft and draft-related documents including joint operating agreements, drilling contracts, master services agreements, oil and gas leases, land agreements, surface access agreements, exploration agreements, farm-outs, purchase and sale agreements, confidentiality agreements, and E&P related agreements.
Qualifications

Leadership, communication, and government financial management, budgeting, financial modeling, reporting, and presentations with at least ten (10) years of federal government management experience in fields related to Oil, Gas, and Extractives. Specialization in management and operations, law, geology, policy, valuations, corporate finance, M&A, energy investments, energy development, energy infrastructure, commodities management, and natural resource markets.

The focus regions include: Western Hemisphere (Argentina, Brazil, Colombia, Guatemala, Guyana, Mexico, Panama, Suriname); Europe and Eurasia (e.g., Bulgaria, Estonia, Latvia, Lithuania, Poland, Romania, Turkey, Albania, Ukraine); Sub-Saharan Africa (e.g., Kenya, Liberia, Madagascar, Mauritania, Namibia, Senegal, Seychelles, Sierra Leone, Somalia, Tanzania, South Africa); Middle East and North Africa (Algeria, Jordan, Morocco, Tunisia); Asia and the Pacific (India, Indonesia, Mongolia, Vietnam, Burma, Papua New Guinea, Sri Lanka).

Minimum ten (10) years of consecutive employment in a position with comparable responsibilities within the past five (5) years. Proficiency in computer use (email) and Microsoft Office (Word, Excel, PowerPoint); related tools and technology as required.

  • Recognized Law Degree or J.D. from a top-tier law school and experience working for a top-tier law firm in the country of focus.
  • Legal, regulatory, and policy experience with excellent oral and written communication skills.
  • Experience drafting and negotiating purchase and sale, joint development, participation, farming, operating, transportation and gathering agreements, oil and gas leases, and related documentation.
  • Experience with Production Sharing Agreements, Royalty Interest Owner’s oil and gas leases.
  • Knowledge of upstream and midstream energy industries; downstream and power experience a plus.
  • Licensed and in good standing in at least one state or country of focus.
  • Oil and Gas (Petroleum) Attorneys with experience in infrastructure development and project finance, debt-equity and finance, regulatory, upstream exploration, production and development, midstream, LNG, downstream, refining, MLPs, acquisitions and divestitures, environmental, real estate and marketing experience desired.
  • Strong academic record, exceptional analytical and writing skills, team-oriented mindset with ability to lead transactions.
