About the Organisation

A UK registered, family-owned investment company which is internationally active company is seeking to appoint a Non-Executive Director (NED) to its Board. The organisation operates across multiple markets with a focus on long‑term stability, responsible governance, and sustainable growth. With a strong heritage and a forward‑looking strategy, the company is enhancing its board composition to ensure it continues to meet evolving regulatory expectations and maintains robust oversight of its operations.

Purpose of the Role

The Non‑Executive Director will serve as an independent member of the Board, offering objective advice, industry awareness, and critical challenge to the executive leadership team. The successful candidate will contribute to shaping corporate strategy, guiding governance frameworks, and reinforcing risk oversight across the organisation.

Key Responsibilities
  • Provide independent judgement and strategic input at board meetings and committee sessions
  • Offer specialist insight on legal, regulatory, and governance matters
  • Support the development and evaluation of corporate strategy and long‑term planning
  • Ensure that effective systems of risk management, internal control, and compliance are maintained
  • Constructively challenge and support the executive team in the delivery of organisational objectives
  • Participate in board committees where appropriate, such as Audit & Risk, Governance, or Remuneration
  • Champion high standards of ethical conduct, transparency, and corporate stewardship
  • Represent the organisation’s values and support a culture of integrity and accountability
Candidate Profile

Applications are invited from individuals who possess :

  • Retired or late‑career status as a Legal Partner (or equivalent senior leadership role) from a Top 20 law firm
  • Deep experience in corporate, commercial, regulatory, or international law
  • A track record of advising senior executives or boards on complex legal and governance issues
  • Strong understanding of risk management, compliance frameworks, and fiduciary duties
  • Sound commercial judgement and the ability to interpret evolving legal and regulatory landscapes
  • Excellent interpersonal and communication skills, with the ability to influence and challenge respectfully
  • Independence, integrity, and the capacity to contribute to a balanced and effective board dynamic
  • Prior non‑executive or committee experience is advantageous but not essential
Personal Qualities

The ideal candidate will be :

  • Thoughtful, objective, and committed to good governance
  • Skilled at synthesising complex information into practical advice
  • Comfortable operating at a strategic, high‑level rather than day‑to‑day management
  • Collaborative, yet confident in offering constructive challenge when required
  • Motivated by long‑term stewardship rather than short‑term operational involvement
Time Commitment & Terms

The role requires a measured but regular commitment, including :

  • Attendance at scheduled board meetings (typically quarterly)
  • Participation in relevant board committees
  • Occasional ad‑hoc discussions or reviews
  • Preparation time for papers, briefings, and governance updates

Remuneration is offered at a competitive NED rate, commensurate with experience and market expectations.
