We're currently seeking two Non-Executive Directors for our First Central Insurance Management (FCIM) Board. We're looking for experience in a Non-Executive Director role within the insurance industry. For one of the roles, we're specifically looking for knowledge and experience within Audit & Risk and / or AI, Technology, Cyber.

What will it involve?
General

You'll act as a sounding board for the Chair and provide them support in the delivery of their objectives, engage directly with shareholders, including attending meetings with major shareholders to gain a balanced understanding of their views.

Meetings

You'll support the Chair in ensuring there are sufficient resources available to the Board (i.e. that the directors receive accurate, timely and clear information to enable the Board to take sound decisions, monitor effectively and promote the success of the company); and provide an assessment as to the quality and sufficiency of the resources available to the Chair in the fulfilment of their role.

Governance
  • You’ll act as an internal liaison for the Chair by providing an independent and approachable channel for directors to discuss concerns, governance issues, or generally seek assurances.
  • You’ll serve as an intermediary for other directors and shareholders in disputes, or complaints that involve the Chair, playing a critical role in conflict resolution when normal channels of communication have failed or are inappropriate in the circumstances.
  • You’ll participate in succession planning for the Chair, offering input to the Group Remuneration & Nominations Committee, except in cases where the SID is being considered as a candidate for Chair.
  • We’d look for you to lead the evaluation of the Chair’s performance including, among other things:
    • a general assessment of the Chair’s performance, including whether the Chair has fulfilled their responsibilities as set out in their role description;
    • taking soundings via email, or holding annual meetings with the Non-Executive Directors, without the Chair present, to appraise the Chair’s performance. This should include the views of the Executive Directors;
    • where appropriate attending meetings with major shareholders and other stakeholders to listen to their views and develop their understanding of relevant issues and concerns; and
    • reviewing the effectiveness of board meetings, including the quality and timeliness of papers for the board as well as the conduct of the meetings themselves.
