Description du poste

Overview

1. As company's lawyer (senior management) must practice the law in real estate, investment, M&A. Ensure compliance with Company Law (UU PT), investment law, and foreign ownership regulations. Advise on corporate structures, shareholder rights, and capital market regulations (if applicable).

2. 2. Business Transactions & Commercial Agreements Provide legal due diligence for mergers, acquisitions, divestments, and restructuring projects. Ensure commercial transactions align with Indonesian business law and minimize risks.

3. 3. Investment & Foreign Business Advisory Support foreign investment structuring under UU Penanaman Modal and Negative Investment List (Daftar Negatif Investasi) / Positive Investment List. Advise on repatriation of profits, capital injection, and corporate financing.

4. 4. Risk Management & Legal Strategy Identify and evaluate legal risks in business strategies and operational decisions.

5. 5. Dispute Management (Business-related) Handle commercial disputes, breach of contract, debt recovery, and arbitration. Represent company in BANI (Badan Arbitrase Nasional Indonesia), mediation, or court proceedings.
