Qualifications

Context

Your Role

Based in Rueil Malmaison, France (moving to Nanterre in September 2026), you provide corporate governance / corporate secretarial support for Schneider Electric Group entities in Europe as part of the Global Corporate Governance Legal Team, under the supervision of a senior team member.

Your Missions
  • Manage a portfolio of French entities: draft minutes and reports, perform formalities, update registers, and manage all aspects of corporate governance,
  • Prepare and support notices, agendas, resolutions/consents and minutes; facilitate/coordinate boards and shareholders’ meetings; proofread documents,
  • Ensure entities comply with applicable regulatory and statutory requirements and internal policies; maintain accurate corporate books and statutory records,
  • Oversee and manage the regional relationship with Citco (outside corporate governance provider), including budget/associated spend,
  • Advise on general corporate law matters: capital restructurings, asset transfers, shareholder distributions, mergers, dissolutions, liquidations; implement transactional steps,
  • Support M&A and Innovation teams with acquisitions, divestitures, minority investments, entity creation, due diligence, antitrust filing information, and post-deal integration,
  • Liaise with regulators and external auditors as needed,
  • Contribute to training materials on relevant topics; help create templates, policies and procedures,
  • Maintain the Europe corporate governance library and relevant portions of the team internal site,
  • Populate and keep DiliTrust Governance up to date for Europe and prepare database reports,
  • Oversee and manage relationships with outside counsel, including budget/associated spend,
  • Perform other related duties and ad hoc projects as required.
Your Profile (Education & Experience)
  • Master’s degree in Law (Master 2), major in corporate or business law;
  • Ideally 2+ years’ relevant corporate governance experience (law firm, corporate or professional services).
Your Skills
  • Strong drafting, project management, writing and communication skills; curious, responsive, eager to learn and work in a large international environment,
  • High integrity, sound business judgment, credibility and professional ethics,
  • High proficiency with Microsoft Office, Microsoft Teams, Adobe, and DiliTrust Governance (or similar),
  • Written and spoken French & English are mandatory.
