Senior Law Clerk & Assistant Corporate Secretary

What you will do
The Sr Law Clerk will play a vital role in ensuring our organization’s legal and corporate governance processes run smoothly. You will be responsible for supporting the SVP General Counsel & Corporate Affairs in managing the public company and corporate records for Kruger Products Inc. and its subsidiaries and / or affiliates. You will assist in providing corporate secretarial, legal and corporate affairs support.
In this role, you can expect to support with initiatives in a few categories : Board & Committee Support, Corporate Legal Support, Corporate Affairs, and additional operational support. Learn more below :
Board & Committee Support
- Coordinate Board and Committee meetings, including calendars, agendas, minutes, and resolutions.
- Prepare and distribute materials via the Diligent platform.
- Support Board initiatives such as evaluations and Director onboarding.
- Manage Annual General Meeting timeline and documentation (e.g., Proxy, MIC).
- Ensure compliance with laws, regulations, policies, and charters.
- Administer Deferred Share Unit issuance and SEDI filings.
- Provide day-to-day support to Board members.
Corporate Legal Support
- Assist SVP, General Counsel in managing public and private entities (18+).
- Maintain corporate records and filings across Canada and the U.S.
- Prepare corporate documentation, resolutions, and regulatory filings.
- Manage corporate entity database (Athennian).
- Support financing transactions and monthly documentation processes.
- File documents via TMX / TSX SecureFile, SEDAR+, and SEDI.
- Liaise with internal risk management, external auditors, and compliance teams.
- Draft, review, and coordinate execution of legal documents.
- Support due diligence and insider trading compliance.
- Assist with initiatives related to government relations, ESG, and corporate affairs.
Administrative & Operational Support
- Organize workflows and follow-ups; manage high-volume transactions.
- Prepare checklists and precedents; liaise across departments.
- Schedule meetings and manage administrative projects.
- Monitor corporate secretary mailbox and perform general admin duties.
What you will bring
- Minimum of 15 years of law clerk and assistant corporate secretarial experience (law firm or in-house legal department) with public company board experience.
- College Diploma (Law Clerk, Paralegal).
- Prior Board secretarial experience and strong understanding of corporate law and ESG.
- Corporate affairs experience is an asset.
- Excellent communication skills – both written and oral.
- Strong interpersonal and collaboration skills and the ability to work harmoniously in a diverse and changing work environment.
- High level of professionalism with focus on accuracy and attention to detail.
- Ability to work with all levels of employees, Board Members and third parties.
- Knowledge and understanding of various areas of law.
- Ability to prioritize, multi-task, work efficiently and meet deadlines.
- Strong computer skills with proficiency in Word, Excel, Power Point, Microsoft Teams, One Drive, Nitro Sign.
- Experience e-filing and working with legal systems like Diligent and Athenian as well as databases.
- Proficiency in English is required. French is considered an asset.
