Edge Growth Ventures (Pty) Ltd, a leading growth equity and venture capital firm, is looking for a highly skilled and experienced Senior Legal Advisor to join our team for a 12-month contract.

This exciting opportunity offers you the chance to be part of a dynamic legal team providing support across multiple functions, including investments, portfolio management, and operations.

As a Senior Legal Advisor, you will play a critical role in providing strategic legal guidance and support to our investment and portfolio management functions, which collectively manage over R million per year in investments and support more than 60 investee companies.

You will manage legal responsibilities for, at least but not limited, three funds under our management, ensuring compliance, legal structuring, and contract management.

You’ll need to bring your advanced expertise in corporate commercial law, mergers & acquisitions, finance, and strategic legal advice.

Key Responsibilities

• Contribute to Edge Growth's culture and EPIC values.
• Participate in legal forums and contribute to transformation and innovation within the business.
• Engage in Ventures and Edge-wide forums and report regularly to the General Counsel on all legal aspects.
• Develop and update legal templates and contribute to the due diligence process.
• Advise the Investment Team on deal structuring (debt, equity, mezzanine) and assist with term sheet negotiations and document preparation.
• Provide strategic legal input to the Operations team on contracts with clients and service providers.
• Finalize transaction documents, resolutions, and other required documents for investment transactions.
• Support the Deal Team in engaging external attorneys when needed.
• Guide the Portfolio Management Team on legal compliance, breaches, and restructuring matters.
• Address non‑compliance by investees, including drafting letters of breach and initiating actions as necessary.
• Collaborate with external counsel regarding potential legal actions for non‑compliance.
• Provide support to growth initiatives across the portfolio.

Requirements

• South African Citizen
• Bachelor of Laws degree with completion of articles and admission as an attorney of the High Court.
• A commercial qualification is a benefit.
• At least 8 years of post‑qualification corporate & commercial experience, with preference for exposure to mergers & acquisitions, private equity / venture capital fund structuring, and early‑stage debt and / or equity transactions.
