Private Equity Lawyer – Elite US Law Firm – 6-7 PQE

We are instructed by an elite US law firm that is seeking to appoint a Private Equity associate with circa 6-7 years’ PQE.

This is a fantastic opportunity to join one of the City’s leading Corporate practices. The role will focus on domestic and global financial sponsor transactions.

Responsibilities

• Operate as a Private Equity lawyer with circa 6-7 years’ PQE.
• Focus on domestic and global financial sponsor transactions.
• Draft and negotiate locked box and completion accounts SPAs, management incentive documents (including leaver terms) and shareholders' agreements.
• Prepare NDAs, engagement letters, disclosure letters, diligence reports and other ancillary documents.
• Structure financial sponsor transactions and review/comment on funds flows.

Qualifications / Experience

• Applications from Private Equity lawyers with upwards of five years’ experience.
• Experience must include drafting and negotiating the documents listed above.
• England & Wales qualified lawyers, or lawyers with comparable experience gained in common law jurisdictions.
