We are recruiting for a paraprofessional in business law to join our team in our Montreal or Quebec City offices. The successful candidate must have a minimum of eight years in corporate law and will be responsible for assisting our team of lawyers in transactions (including mergers and acquisitions and corporate reorganizations). McCarthy Tétrault employees benefit from a hybrid work environment.

The employee in this position will be part of a national team working with lawyers and professionals in all offices across Canada, where English is the predominant language. An employee in this position will be expected to work in English or French for clients, lawyers or professionals who understand and communicate only in English or French. Bilingualism (French and English) is a requirement for this position.

Responsibilities
  • Playing a key role in transactional matters related to mergers, acquisitions, and reorganizations, including handling file organization, drafting, and monitoring.
  • Preparing and drafting documents such as various resolutions, corporate filings, incorporations and organizations, amalgamations, as well as continuances (importation / exportation), dissolutions, revivals and closing agendas.
  • Updating the minute books under your responsibility.
  • Performing minute book reviews in the context of due diligence, drafting the corporate review reports and drafting the corrective resolutions.
  • Coaching and being involved in the training of paralegals from junior and intermediate levels.
  • Interacting with clients and lawyers when the circumstances require it.
  • Assisting paralegals from other departments, as required.
  • Performing any other tasks associated with this position.

  • College diploma in paralegal studies or law degree.
  • A minimum of eight years of relevant experience in corporate law.
  • Capacity to manage many files simultaneously and work well under pressure.
  • Strong analytical and organizational skills.
  • Detail and solution oriented, ability to meet deadlines and take initiative.
  • Exercise judgment and make decisions.
  • Strong teamwork skills and ability to interact with support staff and specialists at all levels.
  • Excellent written and verbal communication skills in both French and English.
