Responsibilities
- Play a critical role to support the Firm’s lawyers and clients with corporate and tax reorganizations and corporate restructuring transactions
- Work with top tier corporate lawyers to prepare documentation and complete filings for various corporate matters including incorporations, organizations, amendments, dividend declarations, continuances, liquidations and dissolutions
- Draft key documentation required in the context of corporate transactions, including closing agendas, complex share conditions, and ancillary documents
- Be responsible for reviewing and analyzing corporate charter documents and records to ensure compliance with governing statute and identify deficiencies
- Work as member of a collaborative team to mentor and share your corporate knowledge with students, associates and junior paralegals
What you will bring to this role
- Minimum of 3 years’ experience as a Corporate Paralegal
- Solid knowledge of corporate legislation and experience in Alberta and other Canadian jurisdictions
- Ability to perform various due diligence searches an asset
- Strong work ethic; continuous improvement mindset and a self-starter in a fast-paced environment
