Job summary

A leading investment management firm seeks a Legal Counsel to join their legal team in Montreal. The successful candidate will work in a dynamic environment and handle various legal matters including corporate governance, compliance, and contract negotiations. Candidates must have a Law Degree, be bilingual in English and French, and possess at least 2 years of relevant experience in the legal field.

Qualifications

• Law Degree and member in good standing of the Québec Bar.
• At least 2 years’ relevant experience in a law firm or as in-house counsel.
• Detail-oriented and able to manage priorities efficiently.

Responsibilities

• Assist with governance matters and organize board meetings.

• Draft and negotiate legal documents including commercial contracts.

What we are looking for:

We are looking for a Legal Counsel to join our legal team. Candidates who want to work in a dynamic and entrepreneurial environment, who wish to work on various matters and develop their skills should apply. This position will be based at our downtown Montréal, Québec headquarters.

Your responsibilities:

• Work on governance matters and assist with the organization of the board and committee meetings, including preparation of agendas, minutes, and meeting materials and the distribution thereof.
• Work on the preparation of disclosure documents (AIF, MIC, etc.).
• Provide legal advice and support on corporate, securities, regulatory, data privacy and commercial matters.
• Draft, review, and negotiate a variety of legal documents including commercial contracts.
• Work on mergers and acquisitions, financings, and corporate restructurings.
• Coordinate with external counsels on litigation matters.

Must have requirements to be successful in this role:

• Law Degree and member in good standing of the Québec Bar.
• Lawyer with at least 2 years’ relevant experience in a law firm or as in-house counsel.
• Bilingualism required (English and French).
