The role is to provide advisory services to the General Manager and Department Managers on all legal, compliance, corporate governance and contractual matters pertaining to the business with the objective of minimizing exposure to legal risks through compliance with all applicable legal requirements.

Key Activities :

• Contributes to the development and implementation of EMARAT's corporate strategy from a legal perspective
• Provides strategic legal advice on complex and sensitive matters including legal implications of strategic projects, in order to protect EMARAT’s interests and minimize risk
• Leads the planning, formulation and implementation of the Legal Unit’s strategy, business plans and Key Performance Indicators (KPIs) in support of EMARAT’s corporate goals
• Conducts periodic review of Departmental legal documentation and practices to identify opportunities for improvement and engagement in best legal framework
• Liaises with Department Managers, the General Manager (GM) and the Board to clarify, justify and provide updates on all significant developments undertaken up by the Legal Unit

2- Budgeting :

• Forecasts Unit budgets on the basis of historic trends, economic environment and market forces
• Collaborates with Finance Department on budget related issues
• Acts as legal advisor to the GM and all levels of management in providing legal advice in order to mitigate EMARAT’s risk and exposures
• Identifies potential legal issues, assesses the potential legal risk and mitigates where necessary and as required by the concerned departments.
• Plans, conducts and supervises large and highly complex legal assignments assuring legal representation for EMARAT’s claims and legal proceedings
• Provides feedback, in coordination with the Internal Audit Unit, to the GM regarding EMARAT’s legal compliance and any internal and external identified risks, makes recommendations on mitigating actions
• Supervises and monitors outside counsel as necessary and control external legal expenses
• Undertakes legal research as necessary and as required, ensuring advise is current and accurate, monitors and advises business Departments / Sections / Units of any legislative changes and case law affecting the conduct of their business; keeps a repository of all relevant legislation and decrees

4- Contractual Agreements :

• Works closely with Retail and Commercial Department in reviewing and evaluating all documentation, contracts, lease agreements, correspondence etc that have legal implications to reduce EMARAT’s liability and protect its interests
• Oversees the negotiating, structuring, and management of contractual documents that establish business relationships with vendors, customers and / or partners ensuring adherence with company policies and risk tolerance, in coordination with the Internal Audit Unit
• Advises management of contractual rights and obligations and provides interpretation of terms and conditions upon request
• Drafts and supervises the drafting of legal submissions / statements (of claims / defense) which have to be filed before the relevant official authorities in any matter related to legal claims or disputes
• Maintains, reviews and updates from time-to-time EMARAT’s contracting policy and standard form agreements to ensure that they minimize legal and economic exposure and conform with all applicable laws, in coordination with the Internal Audit Unit

6- Stakeholder Management :

• Establishes and maintains effective relationships with advisers / law firms and other external stakeholders required to meet EMARAT’s business and operational objectives
• Works effectively, proactively and with urgency across EMARAT and externally to ensure the delivery of joint services / results that meet EMARAT’s interests, and for knowledge sharing

Knowledge :

• Knowledge of International Laws and contract Law (relating to the supply of goods, equipment and services within Oil & Gas industry) and of international trade and cross borders transactions
• Knowledge of Companies Laws, Conflict of Laws rules and Law of Civil Transactions
• Experience in driving litigation, dispute resolution and Arbitration preferred
• Arabic speaking is a must

Education :

• Master Law Degree in a program related to international / commercial law is preferred
• Qualified to practice Law within the UAE is a plus

Experience :

• A minimum of 10 years experience within Corporate Legal Affairs with at least 4 years in a managerial role
• Experience in Oil and Gas Distribution Industry preferred
