Why join our team? The role sits within the UK Legal and Compliance team and reports into and is supported by the Senior Legal Counsel who is the key legal support for the Marketing and HR functions. It is a small and friendly legal team headed up by our General Counsel and consisting of three Senior Legal Counsel, two Legal Counsel and three paralegals. This is a general commercial paralegal role covering Samsung UK's sales and marketing business. The role is broad in nature and will offer legal experience supporting across all elements of the business.
Responsibilities
- Prepare monthly reports for various divisions on recent legal updates.
- Prepare and present training to the legal team on key legal and sector updates.
- Take responsibility for maintaining the Samsung legal precedents and consider any changes to be made to reflect new legislation and case law.
- Draft and negotiate various service agreements and documents, contribute to conference calls and attend face to face meetings throughout the business.
- Support all lawyers within the Legal team.
Marketing Teams
- Draft and negotiate a broad range of materials including agency services agreements, terms for consumer facing promotions, sponsorship agreements including celebrity endorsements, talent contracts, non-disclosure agreements, loan agreements, cease and desist letters in respect of third party IP infringements, and correspondence with the Advertising Standards Authority.
- Assist with the legal approval process by reviewing Samsung adverts and social media posts before they are launched.
- Advise on pricing practices, sales promotions, and marketing assets.
Finance and Service Teams and Data Protection
- Provide support to the Data Protection Manager in connection with data protection matters such as responding to data subject access requests and responding to requests from regulatory bodies.
- Build and negotiate a range of agreements and legal documents including service agreements, residential lease agreements, terms and conditions, policies and guidelines, licence agreements, letters of authority, commercial lease agreements, non-disclosure agreements, loan agreements, consumer letters, and privacy notices.
- Undertake compliance due diligence checks of all new vendors registered through the procurement team.
- Maintain a document management system for residential lease agreements in addition to reviewing and drafting the same.
- Act as the first point of contact for the product liability team in relation to ad-hoc product liability issues and liaise with external counsel in relation to any product liability claims.
- Advise on commercial terms, data protection, warranties, product liability and consumer claims, financial terms, and residential lease issues.
Commercial Teams
- Involvement in large scale contractual negotiations with national/international partners and companies.
- Draft and review agreements including general conditions of sale, terms and conditions, commercial terms, distribution agreements, novation agreements, service agreements, employee incentive agreements, channel partner promotions, data protection agreements/data sharing agreements, space agreements, non-disclosure agreements, and intercompany agreements.
- Conduct legal and technology sector research and analysis.
- Support the SEUK legal team in commercial matters and project work as necessary.
- Provide support in general compliance matters and on competition law queries from the business.
Small Claims
- Liaise with the customer experience teams to gather internal evidence and address the claims received.
- Advise the customer service team on relevant legislation.
- Communicate with the Small Claims Court and attend mediations.
- Draft defences, acknowledgements of service and settlement agreements.
