About Our Client

Our client is a financial services organization.

Responsibilities
  • Provide legal support for M&A transactions, including deal structuring, negotiation, and execution.
  • Draft, review, and negotiate key documents such as purchase agreements, NDAs, term sheets, and employment agreements.
  • Advise on and draft restrictive covenants (e.g., non-compete, non-solicitation, confidentiality) in the context of acquisitions and executive transitions.
  • Conduct and manage legal due diligence, identifying risks and mitigation strategies.
  • Collaborate with internal stakeholders, external counsel, and deal teams to ensure smooth transaction flow.
  • Ensure compliance with applicable corporate, securities, and employment laws.
  • Support post-closing integration and contract enforcement as needed.

Qualifications
  • A Juris Doctor (JD) degree from an accredited law school.
  • Active membership in good standing with a US state bar.
  • 3-4+ years of experience handling M&A private equity transactional work, including all related deal documentation, ideally gained in big law and/or in-house within the private equity space.
  • Strong knowledge of mergers and acquisitions within the financial services industry.
  • Excellent drafting, negotiation, and analytical skills.
  • The ability to manage multiple priorities and meet tight deadlines.
  • Strong interpersonal and communication skills to collaborate effectively with stakeholders.
  • Must be able to work a fluctuating schedule (i.e. no set hours, some weeks busier than others).
  • Must be able to work autonomously.
