About the Role

Grade Level (for internal use): 12

The Team

This position is with the Corporate Legal Department consisting of 5 lawyers, 3 paralegals, and 1 legal administrative assistant and reports directly to the Associate General Counsel International Corporate. The team covers our legal entities globally from a subsidiary governance and corporate legal perspective.

The Impact

This position contributes to the subsidiary governance of nearly 400 legal entities globally and supports the Treasury Controllers and Tax functions from a corporate legal perspective. This position joins a wider global legal team of over 150.

Responsibilities
  • Liaising with Treasury Controllers and Tax to provide legal advice and support achievement of their company goals including cash repatriation loans and structuring.
  • Preparing and arranging execution of board and shareholder resolutions for UK subsidiaries including to declare dividends, issue loan notes, alter share capital, allot shares, amend articles, change officers, and approve annual accounts; preparation of board materials and packs.
  • Updating and maintaining statutory books and compliance for the company’s UK subsidiaries including overseeing Companies House filings and record keeping.
  • Assisting with management of local counsel and corporate service providers overseas to ensure appropriate subsidiary management corporate compliance and governance of the company’s subsidiaries globally.
  • Preparation of intercompany agreements and delegations of authority.
  • Liaising with notaries, local counsel and corporate service providers overseas to assist with corporate subsidiary management including preparing certificates and arranging for documents to be notarized, apostilled, legalized or consularized.
  • Assisting with maintaining internal recordkeeping systems. Experience of Diligent Entities preferred.
  • Corporate due diligence and company searches obtaining certificates of good standing and similar in the UK and worldwide.
What We’re Looking For
  • At least a 2: 1 Bachelor of Law qualification together with the Legal Practice Course or the Bar Vocational Course or similar and having successfully completed a training contract at a reputable law firm or in-house at a large company. Minimum 4 years PQE.
  • Excellent company law knowledge in particular in the areas of corporate transactions, corporate governance and compliance. Company secretarial experience as part of legal role is important.
  • Professionalism and responsiveness required and ability to effectively communicate with people at all organisational levels of the company.
  • Excellent organisational and project management skills needed to manage time well prioritise effectively and handle multiple deadlines. Ability to react quickly and adjust priorities on short notice.
  • Ability to operate autonomously while being a team player who brings a positive enthusiastic attitude to the workplace and works collaboratively with other members of the team and with other colleagues.
  • Computer Skills are preferred - Word, Excel, Adobe Acrobat, Outlook, Diligent.
