Job Description

The Role

The role will support the Company Secretary team in ensuring that the Group maintains high standards of corporate governance across all its entities and complies with all statutory requirements. The role involves supporting key governance projects and being an integral part of the department's change process.

Responsibilities

  • Assist with statutory compliance work for UK subsidiary companies, ensuring timely filing at Companies House and maintenance of corporate records.
  • Maintain the global entity management system (Diligent Entities) to keep details of Group subsidiaries up to date and support the production of the Group Structure Chart.
  • Arrange for the preparation and execution of corporate resolutions, powers of attorney, and proxies, including notarisation and/or apostille if required.
  • Assist with administration and support for Board and Committee meetings, including paper collation and uploading to the board meeting platform (Diligent Boards).
  • Coordinate and support the creation and maintenance of the Group's annual board and committee meeting calendar, in collaboration with the Assistant Company Secretary.
  • Manage the calendar of the Independent Non-Executive Directors (INEDs).
  • Assist with completing KYC, statutory, and regulatory forms and documents required by registrars, agents, banks, and clients, with support from the Assistant Company Secretary.
  • Support the day-to-day administration of boards and committees.

Skills and Experience

  • Ideally CGI qualified or partly qualified, with relevant work experience.
  • Knowledge of the Companies Act, UK Corporate Governance Code, or Wates Corporate Governance Principles.
  • Strong written and analytical skills with keen attention to detail.
  • Excellent administrative skills, proficiency in MS Office, and experience with Diligent Entities and Diligent Boards is a plus.
  • Excellent interpersonal skills, capable of communicating at all levels, including with Directors and senior management.
  • Ability to work under pressure and meet deadlines.
