Role: Commercial Corporate Attorney

Join Entrust’s growing legal team as a Corporate Attorney. Work with the Americas Sales teams to support revenue goals while managing risk, including negotiating complex technology and service agreements, training Sales on legal topics, and improving contracting processes for scalability. Independently manage a high volume of transactions, build cross-functional relationships, and develop knowledge of Entrust’s technology to guide risk assessment. Support due diligence and integration for acquisitions and adopt a proactive, business‑oriented approach to serving internal and external clients.

Key responsibilities
  • Partner with the Americas Sales team to meet revenue targets while managing corporate risk, including training Sales on relevant legal topics, negotiating and closing complex technology, support and professional services agreements, and other related agreements.
  • Collaborate with the legal team and stakeholders to build efficiencies and processes into the customer contracting lifecycle to enable scalability (playbooks, contract standardization, CMS projects).
  • Efficiently manage a large volume and variety of transactions and independently prioritize and manage projects.
  • Build strong relationships within the global legal team and cross‑functionally, coordinating resources through all contract negotiations.
  • Develop a comprehensive understanding of Entrust’s technology and business practices to quantify risk and educate internal stakeholders in a business‑friendly manner.
  • Adopt an engaging and proactive style of legal practice to effectively serve internal clients and Entrust’s customers.
  • Assist in due diligence and integration for acquisitions, as required.
  • Conduct research on applicable laws and regulations regarding commercial and compliance matters.
  • The role may include responsibilities in other areas within the legal department.
Qualifications

Basic Qualifications

  • JD (or equivalent) from an accredited law school and licensed to practice law in at least one jurisdiction (including the jurisdiction from which you are working).
  • Ability to work lawfully in the jurisdiction of residence with unrestricted work authorization.
  • 4+ years of relevant experience (at least 2 years in an in‑house corporate environment preferred).
  • Strong skills in interpreting, drafting, and negotiating sophisticated technology contracts, with practical business‑oriented advice and strategic thinking.
  • Experience supporting Sales, including negotiating managed service, OEM, system integrator agreements.
  • Solid understanding of data privacy and information security contractual issues.
  • Ability to travel as necessary (estimated 10% or less).

Compensation and Benefits

The anticipated starting base pay for this position is $149,504–$219,272 per year (location dependent). Compensation is determined by geography, education, skills, and experience. This position is eligible for the company’s discretionary annual incentive plan. Benefits include health and well‑being programs, medical, vision, dental, 401(k) matching, life and disability insurance, mental health support, virtual fitness, paid time off and holidays, parental leave, and education reimbursement.
