Location: Position based in Suresnes.

The Opportunity

Bels Legal Affairs Department is expanding its team dedicated to M&A transactions and governance by recruiting an M&A / Governance Lawyer.

Main Responsibilities

Reporting to the Group’s Legal Manager for M&A, Governance and corporate matters, you will be involved internationally in a variety of transactional matters such as acquisitions, equity investments, partnerships, disposals and reorganizations.

Your responsibilities for M&A will include:

  • Carrying out M&A projects in coordination with relevant teams (M&A strategy, finance, Bel Ventures, etc.) and overseeing operational aspects;
  • Assisting in the structuring and development of projects together with other functions (finance, tax) and analyzing legal aspects;
  • Conducting and supervising due diligence with support from external advisors (lawyers, financial and accounting advisors);
  • Drafting and/or reviewing all contractual documentation (NDAs, letters of intent, term sheets, framework agreements, share purchase agreements and warranty agreements, service agreements, etc.) with external counsel support;
  • Participating in negotiations;
  • Managing signing and closing processes, interim periods and post-closing matters;
  • Overseeing and managing warranty claims;
  • Supervising and managing the work of external legal advisors;
  • Monitoring legal developments on contract and M&A-related issues.

Your responsibilities for Governance will include:

  • Participating in the preparation of group-level governance meetings (Board meetings, Committees, General Meetings).
  • Overseeing JV governance in accordance with negotiated agreements, maintaining close collaboration with the business teams and JV directors (defining relevant agendas, organizing and conducting board and shareholder meetings, drafting meeting minutes and ensuring compliance with all required formalities).
  • Participating in various corporate law projects of the Group companies (We Share and other employee shareholding programs, legal reorganizations, etc.).
  • Preparing all relevant recommendations on corporate law, governance and M&A matters in support of strategic decision implementation.
Profile
  • You hold a Master II in business law / DJCE and (ideally) the French Bar qualification with 2 to 5 years of experience in M&A and/or private equity. Law firm experience would be a plus.
  • Highly rigorous and organized; you are skilled at handling complex cross-border matters in a highly confidential environment and managing the time pressures inherent to transactional operations.
  • You are autonomous, dynamic and responsive with excellent drafting, analytical and synthesis abilities.
  • You have strong business acumen and are able to act as a true business partner to your internal stakeholders.
  • You are a team player with excellent interpersonal skills enabling you to interact effectively with a wide range of counterparts (senior management, operational teams, external advisors) in a multicultural environment.
  • Excellent business English, both written and spoken, is required.
