Job summary

A leading financial services company in Ontario is seeking an experienced corporate law clerk to provide support in governance, regulatory, and corporate matters. Responsibilities include coordinating meetings, maintaining corporate records, and assisting with corporate transactions. Candidates should have at least 3 years of experience in a similar role within a Canadian financial institution. A high degree of proficiency in English is required for communication across Canada. Competitive salary range is offered.

Qualifications

  • Minimum 3 years of experience as a corporate law clerk within a Canadian financial institution, law firm, or public company.
  • Expert knowledge of the preparation of corporate minutes and maintenance of minute books.
  • Previous experience in corporate secretarial functions for a Canadian financial institution or publicly traded company is highly desirable.

Job description
What can you expect in this role?
  • Providing support for various governance, regulatory and corporate matters, under the guidance of our General Counsel & Corporate Secretary
  • Coordinating board, committee and shareholder meetings and materials
  • Administration and maintenance of minute books, licensing processes and files, and corporate records
  • Interacting with provincial and federal financial institution regulators concerning corporate licensing and related matters
  • Assisting with SEDAR, SEDI and stock exchange filings
  • Drafting a variety of corporate documents, including corporate minutes, resolutions, notices, etc.
  • Assisting with preparation of corporate and commercial agreements, including non-disclosure agreements and routine contracts, as well as the completion of corporate transactions

  • Previous experience being involved in the corporate secretarial function for a Canadian financial institution, and/or publicly traded company, is highly-desirable

High degree of proficiency with English required to service customers, both internal to the company and external, across Canada.

Salary Scale: $58,100 - $106,900
