OH LLP is a leading public law firm providing practical, commercially focused legal solutions across the UAE. We are seeking a Junior Associate to join our Corporate & Commercial practice and support a growing portfolio of local and international clients.

This role is well suited for a recently qualified or early-career lawyer looking to build strong foundations in corporate, commercial, and regulatory work within a collaborative, professional law firm environment.

Role Overview

As a Junior Associate, you will support senior lawyers across a broad range of corporate and commercial matters, with particular exposure to company incorporations, corporate structuring, restructuring, and transactional support. The role offers hands‑on experience, structured learning, and direct interaction with clients and regulators.

Key Responsibilities
  • Assist with advising clients on corporate and commercial legal matters, including company incorporations, structuring, restructuring, and business expansion
  • Support the drafting, review, and organization of corporate documents, including:
  • Constitutional documents
  • Shareholder resolutions
  • Commercial agreements and transaction documents
  • Conduct legal research, prepare summaries, and assist with due diligence and risk assessments
  • Support senior team members in mergers and acquisitions, corporate finance, and cross‑border transactions.
  • Liaise with regulators and licensing authorities under supervision, including:
  • Central Bank of the UAE (CBUAE)
  • Securities and Commodities Authority (SCA)
  • Dubai Department of Economy and Tourism (DET)
  • Abu Dhabi Department of Economic Development (ADDED)
  • Sharjah Economic Development Department (SEDD)
  • UAE free zones, including ADGM and DIFC
  • Drafting of agreements such as:
  • Sale and Purchase Agreements
  • Agency Agreements
  • Franchising Agreements
  • Employment Agreements
  • Coordinate with internal teams, clients, and third‑party service providers (CSPs, legal translators, notaries, etc.) to ensure smooth execution of corporate matters
  • Maintain accurate records and support the efficient management of ongoing client files
  • Assist with company setup, licensing, renewals, and ongoing compliance matters

Skills
What We’re Looking For
  • A bachelor’s degree or masters in Law.
  • Qualified lawyer or recent admittee with 0–2 years’ experience in corporate or commercial law (internships or training contracts considered)
  • Strong academic background and interest in corporate, commercial, and regulatory law
  • Bilingual proficiency (Arabic and English preferred)
  • Basic familiarity with UAE corporate and regulatory frameworks (or strong willingness to learn)
  • Strong drafting, research, and organizational skills
  • Detail‑oriented, proactive, and eager to develop professionally
  • Comfortable working in an office‑based, team‑oriented environment
