The firm’s diverse team of 150 talented lawyers are from 35 different cultural backgrounds and can speak 22 languages. Our lawyers are well-equipped to navigate complex legal landscapes and tailor advisory approaches to the needs of various industries.

We are now looking to appoint a mid-level Corporate & Commercial Associate who will support the firm’s clients across a broad range of corporate and commercial matters, with a focus on drafting, reviewing, and negotiating legal opinions, all types of agreements and assisting with regulatory and structuring projects. The role requires strong technical capability, commercial acumen, and the ability to manage transactions independently while working closely with partners and senior lawyers.

Key Responsibilities
Corporate Structuring & Advisory
  • Advise on UAE company law matters, including corporate governance, shareholding structures, board and shareholder rights, and related regulatory requirements.
  • Assist in advising on free zone and mainland corporate set-ups, restructurings, continuations, and liquidations.
  • Support on structuring, employment, licensing regulations, and regulatory approvals across relevant authorities (e.g., MOE, DED, free zones, sector regulators).
Commercial Contracts & Transactional Work
  • Draft, review, and negotiate a wide range of commercial agreements, including:
  • Share purchase agreements (SPA) and shareholder agreements (SHA).
  • Joint venture and partnership agreements.
  • Distribution, agency, franchise, and services contracts.
  • Non-disclosure agreements (NDAs) and term sheets
  • Support on M&A transactions, including due diligence, transaction execution, and closing formalities.
Compliance & Risk Management
  • Conduct legal research and draft legal memoranda and advisory notes on relevant laws and regulations.
  • Assist clients with compliance requirements, regulatory filings, and internal governance policies.
Client Engagement & Project Management
  • Act as a point of contact for clients on day-to-day matters, ensuring timely and high-quality delivery.
  • Assist in managing deal timelines, deliverables, and document flow.
  • Participate in client meetings, prepare presentations, and support business development initiatives.
Qualifications & Skills
  • Bachelor of Laws (LLB) or equivalent.
  • 3-4 years in corporate and commercial practice.
  • Solid experience in commercial contracts, corporate advisory, and M&A support.
  • Strong drafting and negotiation skills with attention to detail.
  • Strong organizational and client-management skills.
  • Fluency in English required.
