Job description
Key Responsibilities:
1. Legal Advisory and Business Support
  • Advise on legal risks and opportunities related to business activities, including securities trading, investment banking, asset management, and other financial services.
  • Act as the primary legal advisor to executives on all material legal issues affecting the business.
  • Collaborate with Regulatory Compliance, Risk, and Global Legal Services to provide integrated legal support for the GM and SSv businesses.
  • Represent the Legal Department in various local and regional projects, initiatives, and risk management committees.
  • Support digital innovation initiatives and the development of digital platforms, services, and products.
2. Regulatory Compliance and Risk Management
  • Ensure the company and its subsidiaries comply with all applicable laws, regulations, and industry standards, including those set by regulators such as the SEC, FCA, MAS, SFC, or other relevant authorities.
  • Monitor legal and regulatory developments impacting the business and develop strategies to ensure compliance.
  • Lead legal responses to regulatory inquiries, audits, investigations, and enforcement actions.
3. Contract Negotiation and Documentation
  • Draft, review, and negotiate a broad range of agreements, including client agreements, vendor contracts, partnership agreements, trade confirmations, and product term sheets.
  • Develop and maintain legal and contractual templates to standardize and streamline documentation processes.
  • Ensure contracts are legally sound, protect the company’s interests, and comply with regulatory requirements.
4. Corporate Governance
  • Provide legal guidance on corporate governance matters, including board meetings, shareholder relations, and company policies, as required.
5. Litigation and Dispute Resolution
  • Oversee and manage external counsel in litigation and dispute resolution processes, including securities-related disputes, customer claims, and regulatory enforcement actions.
  • Develop strategies for dispute resolution, ensuring the protection of the company’s interests while minimizing legal risk.
6. Leadership and Collaboration
  • Work closely with cross-functional teams (e.g., Compliance, Finance, Operations, and HR) to provide comprehensive legal support across the organization.
  • Liaise regularly across business areas to ensure alignment of legal strategies and policies.
  • Represent the Legal Department in fiduciary forums, risk committees, and board meetings as required.
Qualifications
  • Juris Master or equivalent law degree from a recognized institution.
  • At least 5-10 years of experience in a corporate legal department, with a focus on international legal matters and in-house experience, preferably in a global or multinational organization.
  • Extensive knowledge of corporate law, M&A, commercial contracts, and regulatory compliance. Experience in managing cross-border legal issues is highly desirable.
  • Proven ability to lead and influence across different levels of the organization.
  • Strong written and verbal communication skills, with the ability to present complex legal concepts clearly and persuasively to senior management and non-legal teams.
  • Strong analytical and problem-solving skills with the ability to provide practical and business-focused solutions.
