Qualifications

Responsibilities

  • Advise on legal aspects of investments including structuring and transaction execution.
  • Draft, review, and negotiate investment-related documentation.

Overview

We are seeking a mid-level Legal Counsel to join our legal team on a 9-month contract to support ongoing investment and portfolio matters. This is an excellent opportunity for a commercially-minded lawyer with strong transactional experience to gain exposure within a leading venture capital platform.

Key Responsibilities
  • Advise on legal aspects of early-stage and growth-stage investments, including structuring, due diligence, and transaction execution.

  • Draft, review, and negotiate term sheets, shareholder agreements, subscription agreements, and other investment-related documentation.

  • Support portfolio companies on follow-on investments, restructurings, exits, and general corporate governance matters.

  • Coordinate with external counsel and internal stakeholders to ensure smooth and timely deal execution.

  • Assist in legal risk management and compliance initiatives across the fund’s operations.

Requirements
  • Qualified lawyer with 5–7 years of post-qualification experience, ideally with a top-tier law firm and/or in-house role in a VC, PE, or investment firm.

  • Solid grounding in M&A, venture capital, or private equity transactions.

  • Able to work independently and manage multiple workstreams in a fast-paced environment.

  • Strong interpersonal skills and a commercial, solution-oriented mindset.
