Department: Legal - Legal Counsel

Description

As support to the Legal Dept, to offer prompt legal guidance and general legal assistance to Acrelec’s global business operations in all areas of corporate and commercial law, with a focus on creating synergy and enabling growth through established procedures and practical, consistent advice. Managing external lawyers and legal professionals to ensure high-quality commercial, governance and compliance advice. Helping the business in evaluating and advising on strategic and business initiatives to guarantee legal compliance and best results while keeping a coherent, global approach with other attorneys in the Legal department and the wider group of companies.

Key Responsibilities
  • Contracts: Managing initial drafting, evaluation and negotiation through to execution including Non- Disclosure Agreements, Sales / Purchasing Agreements, Sub-contracts, Lease agreements, customer proposed terms and conditions and SaaS licensing.
  • Serves as a legal point of contact for internal and external customers on contractual matters, governance and compliance, ensuring timely review and approval / reconciliation of variations.
  • On all standard and nonstandard contracts, provide redlined recommendations and often negotiate directly with customer attorneys or purchasing staff until consensus has been reached.
  • Maintain contractual records and documentation such as receipt and control of all contract correspondence, customer contact information sheets, contractual changes, status reports and other documents for all projects.
  • Supporting on commercial changes to Group companies and the maintenance of corporate registers in the Group.
  • Support in training managers and other employees in contracting practices and procedures, group policies and initiatives and supporting legal integration and change management work throughout the Region.
  • Monitor compliance by company employees with established procedures. Identify areas of recurrent pressure.
  • Support Legal Dept to ensure company products and services are offered with appropriate, competitive terms and conditions.
  • Ensure that signed contracts are communicated to all relevant parties to provide contract visibility and awareness, interpretation to support implementation.
  • Monitor transaction compliance (milestones, deliverables, invoicing etc.)
Skills, Knowledge & Expertise

Education Level:

  • Have a broad understanding of all aspects of corporate and commercial law and solid international experience. Knowledge of licensing, SaaS platforms and data regulation is a benefit.
  • Excellent written and spoken communication skills, proven ability to manage a team, external counsel and internal clients.
  • Strong commercial awareness and the ability to deal with problems in a pragmatic and logical way
  • Ability to lead, take responsibility and act autonomously including an ability to take difficult decisions and provide substantiated arguments.
  • Skilled to work in highly competitive sectors and a fast-changing environment.

Qualifications:

  • Strong relevant experience from major firms / brands and relevant company experience
  • Have a broad understanding of all aspects of commercial law with international experience
  • Fluent/native in good spoken and written English with a good level ofFrench being a benefit
