Associate Director - Sale and Purchase Agreement ("SPA"), Transaction Services team

Base Location: London. Plus network of 20 offices nationally

We are an integrated team of specialists helping clients focus on the key questions during the critical stages of planning and executing a deal, creating and enhancing value.

We are recruiting Associate Directors to join our Sale and Purchase Agreement team to support the growth of our business.

Responsibilities
  • Associate Director appointments are made on the basis of demonstrated track record. Associate Directors are expected to play a key role in the development of all aspects of the practice:
  • Engagement leadership: driving projects, advising clients orally and in writing in relation to live transactions.
  • Providing price structuring advice and agreement vetting service on the Sale and Purchase Agreement, in particular completion accounts or locked box provisions, and any additional deferred consideration provisions.
  • Providing vendor assist services, such as preparing Locked Box papers.
  • Providing post-completion advice on the preparation or review of completion accounts and earn-out accounts, providing tactical advice on commercial negotiation and any disputes which may arise.
  • Business development: building, commercialising and sustaining relationships with both internal KPMG teams and external client management team members for the benefit of the Firm.
  • Practice development: taking responsibility for several processes and initiatives that are key to scaling the business.
  • Risk management: identifying and managing risks and ensuring the Firm\'s risk management frameworks are implemented appropriately and effectively.
  • People development: identifying team member development needs and accelerating development by establishing the appropriate plans and frameworks with particular emphasis on coaching and skills transfer.
  • Performance management: being responsible for coaching and performance management of a small number of junior staff in the department.
  • Personal development: participating in the career and skills development infrastructure provided by the Firm and acting as a role model with colleagues and clients by living the values of the Firm.
What will you need to do it?
  • You must have experience of the transaction cycle/ transaction services and supporting Mergers & Acquisitions
  • To succeed in this varied and demanding role you will need to demonstrate the following skills and experience:
  • Significant practical experience of advising clients on sale and purchase agreements, in particular, price adjustment mechanisms, locked box arrangements and earn-out provisions
  • Experience of financial due diligence and/or financial audit
  • Excellent written and oral communication and presentation skills
  • Strong analytical skills including the ability to interpret data, generate insights and construct solutions
  • Strong personal impact and self-awareness
  • Excellent written and oral communication and presentation skills
  • The ability to lead and operate in high performing, multi-disciplinary teams

Our core hub for this role is London Canary Wharf. We are open to talking to talent across the country.
