Job description
Position Summary

Cooley is seeking a Paralegal to join the General Corporate team. Under the supervision of an attorney, the General Corporate paralegal is primarily responsible for assisting lawyers in all stages of corporate transactions and with the preparation of documents necessary to comply with all regulations in the conduct of business activities. Responsibilities include, but are not limited to:

Position Responsibilities
  • Provide paralegal support to partners, associates, and other professional staff across the corporate department.
  • Conduct factual research, analyse documents and prepare detailed corporate profiles.
  • Perform legal and non-legal or factual research using a variety of legal research tools for case law, legislation, commentary, company and business information and practical guidance.
  • Advise UK corporate entities on Companies House forms and filings.
  • Assist with the formation & dissolution of corporate entities.
  • Assist With Private Placements.
  • Assist in the preparation of documents and proofread same for sense, consistency, cross references, definitions, formatting and typographical errors.
  • Provide support with regard to virtual data rooms, including data room supervision.
  • Assist with due diligence: review and analysis of documents and assist with drafting of due diligence reports and contract summaries.
  • Assist with disclosure process; review specific disclosures, and assist with preparing disclosure bundles and cross-checking document references in the disclosure letter.
  • Provide company secretarial support including, Companies House searches, draft board minutes and written resolutions and investor consents of directors, shareholders and investors prepare statutory declarations.
  • Assist at signing and completion meetings (including use of DocuSign) and co-ordinate closing documents; prepare conditions precedents and arrange the closing racks.
  • Organise and update precedent and transaction bibles/sets and create electronic bible.
  • Collate and organise closing sets.
  • Liaise with outside agencies as necessary (organise notaries and service of process work).
  • Seek to improve workflow and assist, create and maintain department files.

This job description is not exhaustive and the job holder may be required to undertake additional duties from time to time to ensure the smooth running of the Corporate Group and the various teams within, including Finance, M&A and Private Companies.

Skills & Experience
Required
  • University degree or equivalent.
  • Relevant corporate transactional experience.
  • Working knowledge of MS Office packages and ability to navigate various electronic databases.
Preferred
  • Strong research skills and proficiency in using various research tools, including Westlaw UK, Lexis Library and Practical Law including practice area databases such as Companies House Direct and Perfect Information.
  • Ability to work overtime and to travel as required.
  • Flexibility to adjust hours to meet operating needs.
  • Legal billing experience and knowledge of Intapp Time (DTE) desirable.
Competencies
  • Ability to work independently without supervision and as part of a team in a fast-paced environment.
  • Ability to organise and prioritise work assignments, as well as delegate tasks to support departments when necessary.
  • Possess excellent written, communication and proofreading skills with strong attention to detail and presentation.
  • Ability to function in a professional and polite manner when dealing with clients, co-workers and others.
  • Proactive, reliable, committed and punctual. Highly motivated and enthusiastic for team and self-development. Can drive ideas forward and be innovative.
