M&A Legal Counsel – London

Our client, a dynamic and highly acquisitive listed company, is seeking an M&A Legal Counsel to join their London-based legal team. This is a unique opportunity to work in a fast-paced, deal-driven environment, supporting the company’s ambitious global growth strategy through strategic acquisitions.

Key Responsibilities
  • Advising on and managing M&A transactions from inception to completion, including due diligence, structuring, negotiation, and integration.
  • Drafting, reviewing, and negotiating transaction documents, including SPAs, shareholder agreements, NDAs, and other corporate agreements.
  • Coordinating with internal stakeholders, external counsel, and advisors to ensure smooth execution of deals.
  • Assisting with corporate governance matters, including regulatory compliance, board approvals, and disclosure requirements.
  • Providing strategic legal advice on post-merger integration and risk mitigation.
  • Monitoring market trends, legal developments, and regulatory changes impacting M&A and corporate transactions.
Candidate Requirements
  • UK-qualified solicitor with 3-5 years PQE, ideally gained within a top-tier law firm.
  • Strong experience in M&A, private equity, and / or corporate transactions.
  • Experience advising on cross-border transactions is highly desirable.
  • Ability to work in a high-pressure, fast-moving environment with multiple ongoing deals.
  • Excellent drafting, negotiation, and communication skills.
  • Strong commercial awareness and ability to provide pragmatic legal solutions.
