The Corporate & Securities Associate

The Corporate & Securities Associate will enjoy a highly varied role:

  • Advise clients on initial public offerings (SPAC experience highly desirable), secondary offerings, resales, registered direct offerings and other sales of securities.
  • Draft, review and negotiate registration statements, private placement memorandums, purchase agreements, warrant agreements, convertible notes, registration rights agreements and other related documents.
  • Draft and review comfort letters, circle ups, legal opinions and certificates.
  • Work with issuers, investment banks, auditors and financial advisers to execute deals.
  • Share ideas and participate in deal structuring meetings.
  • Communicate with the SEC, FINRA and Stock Exchange to obtain required clearances.
  • Draft key compliance documents for NYSE and NASDAQ filings.
  • Prepare and review public disclosures and securities filings: proxy statements, Forms 10-K, 10-Q, 8-K and Section 16 filings.
  • Stay informed of changes in securities laws and regulations impacting clients.
  • Assist in mentoring junior associates as needed.

The Successful Applicant

The successful Corporate & Securities Associate should have:

  • Juris Doctor (JD) degree from an accredited law school
  • Admission in good standing to the New York State Bar.
  • Strong understanding of corporate and securities law (ideally 2nd-5th year with relevant experience).
  • SPAC/ IPO experience beneficial.
  • Excellent drafting, negotiation, and analytical skills.
  • Ability to manage multiple priorities and work under tight deadlines.
  • Proactive approach to problem-solving and client service.
  • Highly communication and collaborative approach.
