Overview

A leading global organisation is seeking an experienced Assistant Company Secretary & Legal Counsel to join its legal team based in London. This is a unique opportunity to support a dynamic, international business across a broad range of legal and company secretarial matters. The role offers a varied and challenging workload, ideal for a commercially minded legal professional who is looking to develop their career in a high-performing and fast-paced environment.

Responsibilities
  • Provide business-focused legal and company secretarial support across global operations
  • Ensure compliance with UK Companies Act, statutory obligations, and corporate governance best practices
  • Coordinate and prepare board and shareholder meeting materials (e.g. agendas, notices, minutes, resolutions)
  • Maintain statutory registers and manage filings with Companies House
  • Draft, review, and negotiate a variety of commercial and corporate agreements
  • Advise on legal risks and regulatory issues (including competition law, anti-bribery, trade sanctions, and data privacy)
  • Support on M&A transactions, joint ventures, and strategic partnerships
  • Assist with managing disputes and litigation matters
Qualifications
  • Qualified as a Chartered Secretary (CGI UK & Ireland) and a law graduate qualified in England and Wales
  • 2-3 years of post-qualification experience, gained either in-house or in private practice
  • Solid understanding of corporate governance, company law, and legal compliance
  • Excellent drafting and negotiation skills, with a commercial approach
  • Strong interpersonal and communication skills, both written and verbal
  • Highly organised and able to manage multiple tasks to tight deadlines
  • Comfortable working independently and within a multicultural environment
  • Fluency in English is essential
