Overview

The Vice President, Legal & General Counsel ("VP") is responsible for the legal functions of Coril and its divisions, including real estate. This role delivers timely and effective legal advice, fit-for-purpose governance, compliance integrity, and risk management. The VP reports to the President, supports delivery on Coril's strategic plan, and directly advises the Board of Directors as necessary.

Key Responsibilities

Leadership

  • Build an understanding of the Coril Group's organizational dynamics and business operations.
  • Provide general business and strategic advice and leadership as a member of the management team.
  • Actively participate in Coril's strategic planning process, including the development and monitoring of strategic initiatives for the Legal department.

Legal Affairs

  • Provide timely and effective legal advice across Coril and its divisions, including real estate, contracts, compliance, transactions, and employee matters.
  • Engage appropriate and cost-effective external legal counsel and manage the legal budget.
  • Oversee privacy compliance and serve as Coril's Privacy Officer.
  • Recommend legal structuring for investments, divestitures, and corporate initiatives.
  • Ensure risk management and policy adherence across Coril and its divisions.
  • Directly advise Coril's Board of Directors on all necessary legal issues.

Governance

  • Serve as Corporate Secretary for Coril and its divisions, ensuring accurate record-keeping and compliance with governance standards.
  • Support the Board of Directors:
  • Schedule meetings and develop agendas in collaboration with the Executive Chair and President.
  • Maintain minute books and official records for Coril and its divisions.
  • Assist with Board succession planning, including orientation and onboarding of new Directors.
  • Support the HRGC and Executive Chair in monitoring and evaluating Board performance.
  • Maintain and evolve fit-for-purpose governance frameworks, policies, and procedures aligned with Coril's values and strategic objectives.
  • Ensure compliance with legal and regulatory requirements, as well as internal governance protocols.
  • Contribute to the intergenerational transfer of ownership and control, ensuring a seamless and timely process for Shareholders and the organization.

Qualifications

  • JD and active member of the Society of Alberta in good standing.
  • 10+ years of post-bar call legal experience in private practice or in-house.
  • Proven ability to lead cross-functional teams and manage complex legal and business issues.
  • Experience with institutional quality real estate operations.
  • Strong understanding of governance, compliance, real estate, and employment law.
  • Understanding of Canadian and international tax law and structuring is an asset.
  • Experience in a family enterprise or multi-generational business is an asset.
