This role assists the Legal Department with managing legal matters related to the Firm, including contract review, drafting, and negotiation (client, vendor, Firm contracts, licenses, NDAs, RFPs, confidentiality agreements). It also involves bankruptcy, collections, dispute resolution, compliance, leases, IP, employment, strategic alliances, mergers, acquisitions, and litigation support. The role may advise management on legal issues and manage litigation and outside counsel, supporting international growth, risk management, and corporate development initiatives.

Legal Counsel (Canada)

  • People: Maintains rapport with Canadian business teams.
  • Client: Reviews, drafts, and negotiates agreements in English and French, including client engagement, vendor, partner, referral, software agreements, NDAs, and DPAs.
  • Value: Negotiates contracts, supports compliance policies, and maintains corporate governance records.
  • Provides support to HR, Marketing, Operations, and manages litigation reporting and external counsel.

Duties and Responsibilities

People:

  • Provides legal expertise and builds trust with stakeholders.

Client:

  • Reviews and negotiates client and vendor agreements and related documents.

Value:

  • Strategically assesses risks, proactively resolves issues, manages outside counsel, reviews legal documents, and supports legal protections.
  • Reviews leases, construction contracts, estoppel certificates, software licenses, and other legal documents.
  • Assists with bankruptcy issues, legal compliance, and other projects as needed.

Education and Experience:

Juris Doctor Degree (JD) and at least 5 years of relevant experience; licensed to practice law in Canada.

Computer Skills:

Intermediate knowledge of Microsoft Office suite, LMS, WebEx, and internet research.

Certificates and Licenses:

JD and license to practice law in Canada required. Membership in ABA and ACC preferred. Valid driver’s license required.

Supervisory Responsibilities:

May share supervisory duties over Paralegal staff.
