As the company continues to evolve, they’re looking for an experienced Senior Law Clerk & Assistant Corporate Secretary to join their Legal & Governance team at their Mississauga, ON headquarters.

What You’ll Be Doing
- Acting as a trusted partner to the Senior Legal Executive, supporting a range of legal, governance, and compliance matters.
- Planning and executing Board and Committee meetings, including the preparation of meeting schedules, agendas, minutes, and follow-ups using platforms like Diligent.
- Coordinating documentation for the Annual Shareholders' Meeting, including key regulatory filings and investor materials.
- Managing director equity awards and handling ongoing insider reporting requirements through platforms such as SEDI.
- Maintaining accurate records and legal documentation for over a dozen corporate entities operating in both Canada and the U.S.
- Drafting resolutions, updating corporate registers, and supporting internal and regulatory compliance filings.
- Managing the corporate entity database (Athennian or similar) and supporting external filings via SEDAR+, TSX SecureFile, etc.
- Collaborating with internal departments (Audit, Risk, Finance, Compliance) and external legal or regulatory contacts.
- Assisting in government relations, ESG reporting, and other corporate initiatives.
- Providing ongoing administrative and operational support for legal projects and governance tasks.
What You’ll Need to Be Successful
- 15+ years of experience in a senior law clerk, corporate governance, or legal operations role, ideally within a public company or complex corporate environment.
- Diploma or certification in Law Clerk, Paralegal Studies, or a related legal discipline.
- Deep understanding of public company governance, corporate filings, and securities regulation.
- Hands-on experience working with tools like Diligent, SEDAR+, and Athennian (or equivalent).
- Comfortable drafting legal documentation, handling confidential information, and coordinating with senior leadership.
- Highly organized, detail-focused, and capable of managing multiple priorities under pressure.
- Skilled in Microsoft Office tools (Word, Excel, PowerPoint, Teams, OneDrive) and digital signing platforms such as Nitro Sign.
