Broadridge’s legal department consists of a team of more than 50 attorneys (across 6 specialized teams) and support staff located in NY, NJ, PA, CA, Canada, UK and Ireland. This role will involve supporting the Canadian legal team, as well as businesspeople throughout the Canadian organization. The work includes all levels of paralegal assignments as well as Legal Operations functions in a dynamic, professional environment.

Job Description:

  • Draft, review and negotiate as directed various types of agreements (e.g., non-disclosure, client services, amendments, intercompany, SOWs) and interacting with the lawyers of the Legal Department to effectively address requested changes to agreements.
  • Assist clients of the Legal Department, including the Sales, Finance, Account Management, HR, Tax, Information Security, Privacy, and Risk Management departments, with general questions and specific inquiries relating to existing contracts.
  • Draft and update templates as directed.
  • Perform various support tasks associated with mergers and acquisitions, strategic relationships, real estate and HR matters.
  • Create all documents associated with corporate formation and housekeeping.
  • Create and submit forms with the applicable government agencies related to the formation, dissolution, merger, amendment, etc. of legal entities.
  • Maintain corporate books, corporate filings, and records management for company subsidiaries.
  • Determine data changes as required to company’s entity management system pursuant to any corporate changes to company’s subsidiaries.
  • Assistance with translating documents from French to English
  • Liaison with company’s registered agent for filings, apostilling, SOPS and entity management software, etc.
  • Perform functions related to company’s subpoena process, including gathering data and documents required to comply with SOPS and prepare all correspondence related thereto.
  • Manage research projects such as those related to legal changes in the financial industry on behalf of Legal Department and present findings.
  • Maintain and update research spreadsheets and analyses on an ongoing basis as required.
  • Assist with functions related to contract repositories and related resources, as maintained on Oracle, Hummingbird (Open Text), SharePoint and Smartsheet, etc.
  • Create, file/enter documents/data in various platforms such as Microsoft Word, Excel, PowerPoint, SharePoint, Smartsheet, etc.
  • Perform other complex and/or confidential duties/responsibilities as needed or assigned.

Qualifications:

  • Bachelor's degree and Paralegal Certificate or professional work experience equivalent.
  • French language proficiency preferred.
  • Notary qualification a plus
  • At least 5 years in a corporate contracts administrator/paralegal role in an in-house Corporate Legal Department and/or a large law firm creating, reviewing and administering contracts.
  • Experience drafting, redlining, comparing and negotiating contracts.
  • Experience in corporate housekeeping.
  • Proficient in legal terminology and contract terms.
  • Ability to identify and distinguish variations of key contract terms.
  • Experience with reviewing and editing non-disclosure agreements.
  • Proficient in Microsoft Office (Word, Excel, PowerPoint, SharePoint).
  • Excellent verbal and written communications skills.
  • Possess excellent judgment, problem-solving and critical thinking skills.
  • Organized with a strong attention to detail.
  • Ability to work independently and balance multiple projects.
  • Contract Lifecycle Management (CLM) System experience a plus.
