We are seeking an experienced Contracts Manager to join our Contracts Team. This role is critical to supporting Prophix’s global sales, partner, procurement, and customer success teams by managing the full contract lifecycle, improving contracting efficiency, and ensuring consistency with company policies and risk tolerance.

The Contracts Manager will be a hands on contributor who can independently negotiate a high volume of commercial agreements while partnering closely with internal stakeholders. This role reports to the Team Lead, Contracts.

What You Will Do
Customer Contract Negotiation (SaaS)
  • Review, respond to, and negotiate customer redlines and requests primarily on Prophix SaaS agreements, ranging from minor deviations from standard terms to complex, heavily negotiated contracts.
  • Review and negotiate a broad range associated commercial agreements, including Non-Disclosure Agreement, Data Processing Agreements, Professional Services Agreements, Reseller Product Agreements, Subcontractor Agreements, and Partner Agreements.
  • Independently manage negotiations in writing and verbally, including leading live negotiation calls.
  • Partner closely with Prophix Sales teams to coordinate, progress, and finalize customer contracts while supporting deal velocity.
  • Work with Sales to understand deal structure and business objectives and to strategize on the delivery of appropriate contracting solutions for different types of customer engagements.
  • Provide clear, practical guidance to Sales on contract terms, negotiation positions, and risk-based trade-offs.
Vendor & Third-Party Agreements
  • Review vendor, supplier, and other third-party agreements to assess legal and commercial risk to Prophix.
  • Propose redlined terms and alternative language to mitigate risk while supporting business objectives.
  • Escalate identified risks with clear recommendations to appropriate internal stakeholders for review and approval.
Internal Collaboration & Escalation
  • Liaise with internal departments including Finance, Marketing, Cloud Operations, Professional Services, Customer Success, and Channels to obtain input and approvals on escalated contract terms.
  • Assist Customer Success in addressing customer complaints that become contentious or involve alleged or actual customer breaches of contract, including reviewing contractual rights and obligations and advising on appropriate responses.
  • Escalate material risks and non-standard positions to senior leadership and C-suite executives, providing well-reasoned recommendations and next-step options.
  • Support contract negotiations across multiple regions, including North America, Europe, Asia, and Australia, with flexibility to work across time zones as required.
Contract Operations & Process Improvement
  • Manage contract workflows from intake through execution using Conga CLM or similar contract lifecycle management tools.
  • Assist with the development, documentation, and implementation of contracting processes, templates, and playbooks for the Contracts Team.
  • Identify recurring negotiation issues or bottlenecks and propose process or template improvements.
Risk Management & Communication
  • Apply sound judgment to balance legal risk, business priorities, and customer relationships.
  • Communicate complex legal and contractual issues clearly and concisely to non-legal stakeholders.

Required Qualifications
  • A mix of experience, training, or education that helps you succeed in this role.
  • 5+ years of experience in contract management, commercial contracts, or legal operations (in‑house experience strongly preferred).
  • Strong experience negotiating SaaS and technology‑related agreements.
  • Familiarity with contract lifecycle management systems (Conga CLM preferred).
  • Excellent written and verbal communication skills.
  • Proven ability to manage a high volume of contracts in a fast‑paced environment.
  • Strong organizational skills and attention to detail.
  • Comfort using AI tools responsibly to support tasks such as research, drafting, or data review
  • Ability to learn new tools and adapt as technology evolves
  • Curiosity and openness to exploring new approaches
  • Collaborative mindset when working with teams and technology
  • Must be legally entitled to work in the country where this role is located
Preferred Qualifications
  • Experience working in a global SaaS or technology company.
  • Knowledge of data protection, information security, and privacy concepts (e.g., GDPR, SOC 2).
  • Experience supporting international contracts.
  • Paralegal certification or relevant legal education.

Compensation

The salary range for this role is $80,000 CAD to $115,000 CAD, in accordance with applicable pay transparency laws in Canada and the United States. Actual compensation will be determined based on factors such as skills, experience, location, and internal equity.
