A Regional Corporate Counsel specializing in corporate transactional work to provide expert legal advice and support for Epson's Industrial line of business, including strategic initiatives. This role involves drafting, reviewing, and negotiating complex commercial agreements, managing transactions, and advising on compliance and government regulations. This position will require building relationships with senior management to create appropriate legal strategies to advance the Epson’s business goals in the Latin American region.

Key Responsibilities

Transactional Support:

  • Provide legal counsel on all aspects of corporate transactions, including strategic business deals and government sales.
  • Drafting, reviewing and negotiating a wide range of contracts and agreements, including customer sales agreements, distribution agreements, product lease agreements, loyalty program terms and conditions, master service agreements, NDAs, licensing agreements, policies and guidelines, release and consent forms.
  • Identify and manage legal risks associated with transactions and business operations, including government sales and bid transactions.

Advice and Counsel:

  • Responsible for: managing an active portfolio of legal issues with respect to Epson Industrial products and services with moderate to high-risk implications and supporting the Company’s transactional requirements with tailored contracts.
  • Advise as to compliance with applicable laws, regulations, and policies within relevant areas.
  • Assesses legal risks and opportunities, establishes and advocates plans to minimize risks at levels acceptable to businesses supported.
  • Collaborate with internal teams and external counsel, and provide training to internal clients as needed.
  • Shapes and advocates company’s positions to internal and external audiences regarding a variety of legal and business matters.
  • Coordinates efforts with internal and/or external legal and business experts when appropriate.
  • Communicates business risk tolerance to outside counsel to effect best outcomes.

Relationship Management:

  • Advises Legal department managers regarding local laws, regulations and issues and provides recommendations on problematic conditions that require escalation.
  • Collaborates with Key Customers and EAI mid- to senior management across various parts of the organization, with emphasis on support for those involved with 1) Industrial Sales and Marketing, 2) Finance, Tax, Import/Export, and 3) EAI and Seiko Epson Legal/Compliance.
  • Builds strong relationships with peers and senior management to best meet company goals and objectives.

Department Management:

  • Operates within budgetary constraints.
  • Develops and maintains written departmental standards and procedures.

Reports to: Assistant General Counsel (Epson America)

Language: Portuguese, English and Spanish

Legal Expertise:
  • A Juris Doctor (JD) degree and admission to the bar (or Brazilian equivalent).
  • Several years of experience in a large law firm (preferred) and at a multinational corporation (required).
  • Proven experience in corporate transactions, contracts, and other commercial deals.
  • Strong negotiation and drafting skills, with the ability to effectively communicate legal concepts.
  • Strong analytical and problem-solving abilities, with the capacity to handle complex legal issues.
  • Excellent communication and interpersonal skills, with the ability to work effectively with both internal and external stakeholders.
